Introduction

These Terms and Conditions ("Terms") govern your participation in the “Sign up to Airwallex” Sign Up Incentive Campaign ("Campaign") offered by Airwallex Pty Ltd ("Airwallex," "we," "us," or "our"). These Terms are incorporated into and form part of the customer agreements between you ("Participant", “you”) and us ("Customer Agreements") regarding the use of our services ("Services") and shall be interpreted as such. Capitalised terms not defined herein shall have the meanings assigned to them in the Customer Agreements.

Promoter Details

Airwallex Pty Ltd (ABN 37 609 653 312) located at 7/15 William St, Melbourne VIC 3000, is the promoter of this Campaign.

Eligibility Criteria

To be eligible for the Campaign, a Participant must satisfy all of the following conditions (a Participant who meets all the conditions and requirements under these Terms is an “Eligible Participant”):

• The Participant has not signed up to an Airwallex account prior to participating in the campaign.

• The Participant has received an email invitation from Airwallex (“Invitation Email”) to participate in the Campaign.

• The Participant successfully creates an account with Airwallex following these Terms and accepting the Invitation Email. 

• The Participant has submitted to Airwallex all the know-your-customer (“KYC”) documentation as requested by Airwallex for purposes of Airwallex verifying the Participant’s business and has received a written KYC submission approval from Airwallex.

• The Participant has successfully activated their Airwallex account. 

• Within 14 days of the date of the Invitation Email, the Participant has successfully used the Services to collect and transfer into their Airwallex account, or successfully deposited into its Airwallex account, an amount no less than $3,000 AUD.

• The Participant is in compliance with these Terms, the Customer Agreements and applicable laws. 

• The Participant has received written confirmation from Airwallex that they meet all the conditions and requirements set out herein.

Campaign Reward

• The Eligible Participant who meets all the conditions and requirements outlined in these Terms (including the eligibility criteria above and the reward conditions below) will receive a one-time monetary reward of $300 AUD, to be credited directly to their Airwallex wallet.

• The Reward is non-transferable, cannot be exchanged for cash, and is limited to one per Eligible Participant.

Reward Conditions

• The Reward will be credited to your Airwallex wallet.

• The Reward will only be credited to your Airwallex wallet after the relevant conditions are met, including collection and transfer, or depositing, of an amount  no less than $3,000 AUD into the Airwallex account within 14 days of the date of the Invitation Email.

• Any incomplete steps, such as incomplete KYC or not meeting the collection / deposit criteria, will disqualify the Participant from the Reward.

• Airwallex reserves the right to withhold the reward in cases of suspected fraud or misuse of the Campaign or any breach by you of these Terms, the Customer Agreements or applicable laws.

Campaign Period

The Campaign commences on the date specified in the email invitation. To qualify for the Campaign Reward, a Participant must satisfy all the conditions and requirements under these Terms, including using the Services to collect and transfer into its Airwallex account, or depositing into its Airwallex account, an amount of no less than $3,000 AUD within 14 days of the date of the Invitation Email. Any failure to meet the conditions and requirements, including failure to meet this timeframe, will disqualify Participants from the Reward. Airwallex reserves the right to modify or terminate the Campaign at any time with notice.

Acceptance

By participating in this Campaign, the Participant acknowledges and agrees to be bound by these Terms, as well as the Airwallex Customer Agreement. Participation in the Campaign constitutes their acceptance of these Terms. If a Participant does not agree to these Terms, they must not participate in the Campaign.

Exclusivity

This Campaign cannot be used in conjunction with any other offers unless specified by Airwallex in writing.

Rights Reserved

Airwallex reserves the right to modify, suspend, or cancel the Campaign as it deems necessary.

Use of Personal Information

Any personal information provided to Airwallex in connection with this Campaign will be used in accordance with our Privacy Policy and applicable laws.

Transferability

Participants may not transfer their rights or obligations under these Terms without our prior written consent.

No Third-party Rights

These Terms create rights and obligations only between the Participant and Airwallex. No person other than the Participant and Airwallex will have any right under the Contracts or enjoy the benefit of any of the provision of these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

Additional Terms

• Indemnification: The Participant shall indemnify, defend and hold harmless Airwallex, each other member of the Airwallex Group and their respective officers, directors, employees, advisors, agents and subcontractors (“Indemnified Persons”) from and against any loss, damage or expense (including attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against any Indemnified Person by a third party or suffered by any Indemnified Person  in connection with or as a result of the Participant’s breach of these Terms or the Customer Agreements or failure to comply with applicable law or the Participant’s use or misuse of the Campaign.

• Limitation of Liability: To the maximum extent permitted by applicable law, neither Airwallex nor any of its Affiliates will be liable to you, your Affiliates or any other person in relation to these Terms (during and after the term of these Terms), whether in contract, negligence, strict liability, tort or other legal or equitable theory, for losses, damages or costs. 

• Conflict Resolution: In the event of a conflict between these Terms and any Customer Agreement, these Terms shall prevail.
