These terms and conditions (‘Terms’) set out the terms and conditions of your participation in the AU Airwallex for Startups - Grow Tier Subscription Promotion (‘Promotion’) operated by Airwallex Pty Ltd, AFSL 487221 (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms supplement and form part of any applicable agreements between us and you (‘Customer Agreements’) governing the use of our Services and shall be construed accordingly. Capitalised terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms.

By participating in the Promotion, you agree to these Terms.

Who is eligible to participate in the Promotion?

You are eligible to participate in the Promotion and become an ‘Eligible Customer’ if all of the following requirements are satisfied during the Promotion Period:

1. you have signed up by 30 March 2025 as a new Customer of Airwallex via the Airwallex for Startups website

2. you are a startup business that has or is actively looking to engage in an accelerator, incubator or capital raise from sources such as venture capital, angel syndicates and family offices. 

3. you have been onboarded by Airwallex as a new Customer following satisfaction of all of our requirements (including all know-your-customer and AML requirements) in accordance with the standard Terms and Conditions.  

Airwallex reserves the right to determine which customers are eligible to participate in the Promotion.

What benefits do you get as an Eligible Customer? 

An Eligible Customer will be entitled to the following benefits during the first twelve (12) months after being approved as a Customer of Airwallex (“Eligible Period”):  

Apart from the benefits /applicable fees set out above, all other standard fees and charges (as described further in the Fee Schedule displayed in the Airwallex website) shall apply to the Eligible Customer, during and after the Eligible Period (unless Airwallex otherwise agreed with you in writing). 

What is the Promotion Period? 

‘Promotion Period’ means the period that commences on 1 October 2024, 00:00 AEST and ends on 31 March 2025, 23:59 AEST (both dates inclusive), unless otherwise notified by Airwallex.

What are the Fees associated with the Promotion?

There is no cost to participate in this Promotion; however, unless otherwise agreed with you in writing, our standard fees as outlined in the Fee Schedule shall apply. 

Is there any cost to participate in this Promotion?

There is no cost to you or the cardholder to participate in this Promotion. 

What are some other restrictions you should know about?

This Promotion is not available in conjunction with any other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex.

No person other than the Eligible Customer and Airwallex (includes its successors and assigns) will have any right to enforce or enjoy the benefit of any of the provision of these Terms.

Indemnification

The Eligible Customer agrees to indemnify, defend and hold harmless the Airwallex group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex group by a third party or suffered by the Airwallex group in connection with or as a result of the Eligible Customer’s breach of these Terms, failure to comply with applicable law or the Eligible Customer’s use or misuse of the Promotion.

Termination and changes

This Promotion expires on 31 December 2024, unless otherwise extended or shortened by Airwallex. Your participation in the Promotion is not guaranteed and may be revoked at any time at Airwallex's sole discretion. Airwallex reserves the right to amend these Terms or cancel, suspend or amend this Promotion (or any part of it) at any time without prior notice. Should any disputes arise, the decision of Airwallex shall be final and conclusive.

Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel offering the Promotion to you if we suspect that you are abusing or using the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex.

In case of any conflict between these Terms and Customer Agreements, these Terms shall prevail with respect to the Promotion.

Privacy & Security

By participating in the Promotion, you consent to Airwallex collecting, using, and disclosing your personal information provided to Airwallex in connection with this Promotion in accordance with its Privacy Policy.
