Airwallex Travel Program Online Terms
These terms (‘Terms’) set out the terms and conditions of your (“Customer” or “you”) participation in the Airwallex Travel Program provided by Airwallex (Singapore) Pte. Ltd. (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms shall supplement and form part of the Customer Agreements, therefore shall be construed accordingly.
Capitalised terms used shall have the same meaning given to them in the Customer Agreements unless otherwise defined in these Terms.
By participating in the Airwallex Travel Program you agree to these Terms. If you have entered into a separate addendum with us relating to the Airwallex Travel Program (Addendum), then the Addendum shall govern your participation in the Airwallex Travel Program instead of these Terms.
1. Definitions. For the purpose of these Terms:
“Airwallex Travel Program” or “Program” means the program provided by Airwallex which, among other things, allows the Customer to specify the applicable interchange fee during the card creation flow in respect of transactions with Travel Related Merchant.
“Customer Agreements” means the Treasury Management Terms, Cards & Spend Management Terms, Fee Schedule and other terms applicable to the Customer made available on Airwallex’s website.
“Predefined Interchange Fee” has the meaning given to it in clause 3(a).
“Travel Related Merchants” means merchants with the applicable MCCs set out in Annex 1 of these Terms which may be amended or updated by Airwallex or Visa from time to time.
“Visa” means Visa Inc., Visa Worldwide Pte Ltd and/or their affiliates.
“Visa Rules” means all applicable rules, regulations, operating guidelines, policies, procedures, manuals, announcements, bulletins and other requirements issued by Visa from time to time.
2. Program Participation Conditions. The Customer acknowledges and agrees that:
a. its primary use case in respect of the Visa branded Virtual Card is for travel related expenditure with Travel Related Merchants (“Approved Use Case”). The Customer must immediately notify Airwallex if there are any material changes to the Customer’s Approved Use Case or its Virtual Card spending behaviour.
b. if the Customer is not using the Visa branded Virtual Cards for the Approved Use Case, Airwallex may terminate the Customer’s participation in the Program.
c. its participation in the Program is subject to the prior approval of Airwallex and/or Visa, at their sole discretion.
d. its eligibility to participate in the Program is subject to the Visa Rules which may be amended or updated by Visa from time to time.
e. The Program applies to Visa branded Virtual Cards only.
f. The Program may be changed, suspended or cancelled by Airwallex or Visa at any time and Airwallex shall have no liability toward the Customer in connection with such change, suspension or cancellation.
3. Interchange Feature.
a. Once the Customer has been approved by Airwallex to participate in the Program, the Customer may request Visa Virtual Cards by specifying the relevant interchange fee which will apply to Travel Related Merchants (“Predefined Interchange Fee”).
b. The applicable range for the Predefined Interchange Fee will be as set out in the Visa Rules from time to time.
c. The Customer agrees that:
(i) if it does not specify the Predefined Interchange Fee when it requests for a Visa Virtual Card, then the standard interchange fees as set out in the Visa Rules will apply in respect of transactions with Travel Related Merchants.
(ii) the standard interchange fees as set out in the Visa Rules will apply in respect of transactions with merchants that are not Travel Related Merchants.
(iii) Airwallex is not responsible for the interchange fee applied in respect of a transaction and will not be liable to the Customer for any losses incurred by the Customer if the interchange fee charged is different to the Predefined Interchange Fee.
4. General
a. If there is a conflict between these Terms and the Customer Agreements, these Terms will prevail to the extent of the conflict or inconsistency.
b. Airwallex may update or change these Terms from time to time by posting an updated version on our website. We will consider that you have accepted the proposed changes if you continue to participate in the Airwallex Travel Program.
c. These terms will be governed by and construed in accordance with the laws of Singapore. Each Party irrevocably submits to the exclusive jurisdiction of the courts of Singapore over any dispute, controversy or claim (including non-contractual claims) arising under or in connection with these Terms.
