1. THESE TERMS

1.1. Parties. By using the Airwallex Platform and Services you (‘Customer/you/your’) agree to these terms applying between you and Airwallex (Hong Kong) Limited (‘Airwallex/us/we’). Please read these terms carefully and contact us if anything is unclear.

1.2. Additional Documents. The following additional documents (which are updated from time to time) also apply to your use of the Airwallex Platform and Services and should be read together with these terms:

(a) General Terms

(c) Privacy Policy

(d) Payout Guide

(e) Product Documentation (including any Airwallex API Documentation)

(f) FAQs with respect to the use of the Services

Where we provide you with other services, you should refer to the terms and conditions of those other services.

1.3. Access to these terms. You can always see the most current version of those documents, including these terms, on our website at www.airwallex.com. You can also download a copy of these documents and keep it for future reference or ask us for a copy at any time.

1.4. Contacting us. If we need to send you information in a form you can keep, we will either send you an email or provide information on our website or via the Airwallex Platform that you can download. Please keep copies of all communications we send to you.

2. CHANGES TO THESE TERMS

2.1. General changes. We may change these terms by giving you one (1) month's prior written notice. You are deemed to have accepted the proposed changes if you do not terminate these terms by giving us written notice during the notice period.

2.2. Urgent changes. We may also make some changes immediately, without prior notice, if they:

(a) are required by Applicable Law; or

(b) relate to the addition of a new service or extra functionality to our Services and do not affect any terms relating to the existing Services.

2.3. If you do not agree to changes. You should stop using our Services if you do not agree to any changes. If you keep using our Services after we have announced such a change, you are deemed to have accepted the change.

2.4. Modifications. We may modify the configuration, appearance or functionality of the Airwallex Platform at any time to facilitate the continued and proper operation of the Airwallex Platform or to comply with Applicable Law. To the extent reasonably practicable, Airwallex will provide you with advance notice if the modification would materially affect your ability to use the Airwallex Platform.

2.5. Updates. We may issue updates for the Airwallex Platform, including the Airwallex APIs, from time to time. Some updates may require you to take steps to implement them. In some cases (for example, if there are security risks), you will not be able to use the Airwallex Platform until you have implemented the update. If you have not implemented an update within 6 months of us releasing it, we may stop providing some of the Services to you or

terminate these terms, by giving you two months’ prior written notice.

3. IDENTITY CHECKS & INFORMATION REQUESTS

3.1 Identity checks. In accordance with Applicable Law, before and from time to time, during our provision of Services to you, we will carry out customer due diligence checks on you, your directors, partners, ultimate beneficial owners, and employees (as relevant), together with any parties involved in your transactions. You must provide us with complete, accurate, and up to date information at all times, including providing personal information about your directors, partners, ultimate beneficial owners, and employees (as relevant).

3.2. Information requests. You will promptly provide any additional information we require at any time, at the latest within 2 Business Days of a request from us. For example, we may request information to confirm the authenticity of certain transactions. You acknowledge that we may not provide you with any of our Services until we have received all the information we require. We will not be responsible for any loss you may suffer or incur arising out of your failure to do so.

3.3. Third party verification. You agree that we may make, directly or using a third party, any inquiries we believe are necessary to verify information you provide to us, including checking commercial databases or credit reports. We may keep records of such customer due diligence checks in accordance with Applicable Law.

3.4. Credit assessments. You agree that our provision of, and your ability to use, the Services is subject to:

(a) successful completion of the initial, and any subsequent, credit evaluations; and

(b) there being no material changes to your credit status during the term of these terms.

3.5. Acting on own account. You confirm you are acting on your own account, not on behalf of any other person or legal entity. If you are entering into these terms as trustee of a trust, you must disclose that to us. We will deem any use of the Airwallex Profile and associated accounts, including any transfers into and out of those accounts, to have been carried out by you.

3.6. Information verification and Testing. Prior to us accepting you as a customer, we may create a Global Account and provide you access to the Airwallex Platform (whether through Airwallex APIs or Webapp) for testing purposes. In addition, we may ask you to transmit a small amount to the Global Account for testing or verification purposes. For the avoidance of doubt, you are not deemed to be our customer and you will not be able to use any of our Services unless and until we confirm that you have been accepted as our customer, and any amounts you provide to us for testing or verification purposes will be refunded to you in full if we do not accept you as a customer.

3.7. Linked Account. If you link your external account to your Airwallex Profile, as permitted or otherwise required by Airwallex, you agree that:

(a) we will need to carry out verification on the Linked Account; 

(b) we may implement any verification process as we reasonably require from time to time, and use the information obtained through such process to verify the information you have provided to us to our satisfaction; and 

(c) if you fail to complete the verification process or if the verification is unsuccessful, you will not be able to use our Services or features which will require a Linked Account.

4. ABOUT OUR SERVICES

4.1. Airwallex Profile and Platform. Once you have successfully registered with us, an Airwallex Profile will be created for you. We will only create your Airwallex Profile and allow you to use our Services if we are satisfied with the information you have provided, and any subsequent information we have reasonably requested from time to time, and we have been able to verify this information to our satisfaction. You can only have one Airwallex Profile, unless we agree otherwise in writing. If we discover that you have more than Airwallex Profile, at our discretion, we may merge or close any duplicate profiles, or terminate our Services to you, if we reasonably believe you have opened them in order to bypass any restrictions in the Services. You can use your Airwallex Profile to log into and gain access to the Airwallex Platform. The Airwallex Platform provides you with an easy to use user interface to access and use our various Services.

4.2. Setting up Airwallex APIs. You may access the Airwallex Platform through Airwallex APIs as well as the Webapp. However, in order to use our Services through the Airwallex APIs, you must first be approved by us. If you are approved by us, you will need to comply with the Airwallex API Documentation and any reasonable directions regarding the integration and use of the Airwallex APIs.

4.3. Services overview. Our Services provided under these terms include:

(a) Collection Services – where Airwallex receives funds in Supported Currency for you;

(b) Payout Services – where you can send payments to payees; and

(c) FX Conversion Services – where you can convert funds from one Supported Currency to another Supported Currency.

Each of these is a separate Service provided by Airwallex. Airwallex does not provide a deposit account or stored value facility. Any reference to ‘wallet’ on the Airwallex platform is to the Global Accounts through which Airwallex provides the above Services, which has no stored value function.

4.4. Collection Services. In connection with the Collection Services, we will provide you with local bank account credentials in Supported Currency which you may provide your payers to send funds to you. The funds collected will be recorded in the Global Account (Collection), in each Supported Currency, that we set up for you in accordance with clause 5 below. You may, at any time, withdraw funds to your own same name account by giving the relevant withdrawal instructions to Airwallex. The funds collected for you must not stay in the Global Account (Collection) for longer than the maximum period allowed under clause 5.5. You are able to close any Global Account (Collection) by yourself.

4.5. Payout Services and FX Conversions. In connection with the Payout Services and/or FX Conversion Services, Airwallex will set up (or, in limited circumstances upon satisfying applicable requirements, Airwallex may allow you to designate) a Global Account (Payout and FX) into which you may send funds to pay for your Payout and/or FX Conversion instructions. Airwallex will, in turn, based on the specific instruction you give us at the time you send the funds to the Global Account (Payout and FX), remit those funds in a Supported Currency to your designated payee, and/or convert those funds from source currency to the buy currency in accordance with clauses 6 and 7 below. You are unable to close any Global Account (Payout and FX) by yourself.

4.6. Transaction records. Your transaction records will be recorded in the Airwallex Profile which will display records of funds collected through the Global Account (Collection) as part of the Collection Services, and funds paid into the Global Account (Payout and FX) as part of the Payout Services and your FX Conversions.

4.7. Deposit protection scheme. The Hong Kong Deposit Protection Scheme (‘DPS’) does not apply to the funds sent, exchanged or received in connection with the Services. You acknowledge and agree that we are not a bank and do not provide you with a bank account, and so our Services are not covered by the DPS. You further agree that the Global Account is a ‘virtual account’ and is not a bank account, and all funds transferred to us are beneficially ours and will not be held on trust for you, and that you will not earn interest or be entitled to any interest on any funds.

4.8. Keeping your funds safe. To keep your funds safe, Airwallex has implemented commercially reasonable administrative and technical measures to protect the funds collected for or received from you in connection with the Services.

4.9. Restrictions. We may place interim or permanent restrictions on the use of all or any part of the Services depending on certain regulatory requirements, your country of residence, identity verification checks or business requirements, all of which are set out in the Acceptable Use Policy or any Additional Terms. These will be communicated to you at the time the restriction is put in place or, if that is not practical due to urgent or unforeseen circumstances, promptly after the restriction is put in place.

4.10. Your relationship with us. We act as a service provider to you under these terms. Except as otherwise expressly stated herein, Airwallex does not act as a trustee, an escrow agent or stakeholder for you or your payer/payee. To the extent you operate a business, Airwallex assumes no liability to or in respect of any products, services or any other part of your business.

5. COLLECTION SERVICES

5.1. Creating a Global Account (Collection). Once we have created your Airwallex Profile, you can submit a request to open a Global Account (Collection) by logging into the Airwallex Platform and providing the necessary information, including any additional information that we may require from time to time. You will also need to agree to any Additional Terms. We will advise you of this requirement, if relevant, when you request to open a Global Account (Collection). 

5.2. Global Accounts (Collection) are virtual accounts created by Airwallex in order for you to receive funds in Supported Currencies from Payors (‘Collected Funds’). Generally, you must apply to open a separate Global Account  for each Supported Currency. Some Global Accounts can receive funds in more than one Supported Currency (‘Multicurrency Global Accounts’), as identified in the account capability section within the webapp of the Airwallex Platform. Global Accounts are not separate bank accounts opened in the Customer’s name. Airwallex will collect and hold Collected Funds in one or more underlying bank accounts in its name for the designated purpose of providing the Collection Services (‘Underlying Accounts’). The funds in any underlying bank account will be commingled and pooled together with those of other users of Services offered by Airwallex. 

5.3. Recording receipt of Collected Funds. Collected Funds will be recorded in your Global Account (Collection), in each Supported Currency. Airwallex is not responsible for any funds transferred, and will not record them as available in the Global Account (Collection), until after Airwallex has received the funds into its Underlying Account(s). The transfer of funds from your Payors to Airwallex’s Underlying Account(s) is a Third Party Service. Airwallex has no control over the time it may take for the transfer of such funds to clear and settle into its Underlying Account(s).

5.4. Your right to withdraw collected funds. You are entitled to be paid the funds collected for you as part of the Collection Services provided to you in accordance with these terms.

5.5. You must promptly instruct us to make a withdrawal with respect to funds received in the Global Account (Collection). If you do not give us withdrawal instructions within a reasonable period of time as determined by us and, in any event within a maximum period of no longer than 90 days, we will, at our sole discretion: (a) return the funds to the sender; (b) remit the funds to your Linked Account as notified to us; or (c) remit the funds to you in any other way permitted by Applicable Law.

5.6. Source of funds. Unless we agree otherwise in writing, you must ensure that all funds we receive in connection with the Services come from a legitimate source (for example, proceeds from the sale of goods or services) and otherwise comply with our Acceptable Use Policy. If we ask you to, you agree to promptly provide evidence of the funding source.

5.7. Restriction on depositing funds into the Global Account (Collection). The Global Account (Collection) is used to provide you with Collection Services only. You are not permitted to transfer your own funds into the Global Account (Collection).

5.8. Acting as limited agent. For Collection Services in the United States, you hereby designate Airwallex, and Airwallex hereby agrees to serve, as your limited agent for the sole purpose of receiving such payments on your behalf from your Payors. You agree that upon Airwallex receiving payment from a Payor: (a) you shall be deemed to have received payment from such Payor, (b) such Payor’s obligation to you in connection with such payment shall be satisfied in full, (c) any claim you have for such payment against such Payor shall be extinguished and (d) you are obligated to deliver the applicable goods and/or services to the Payor (if not already delivered), in each case regardless of whether or when Airwallex remits such payment to you. Airwallex will remit to you in accordance with these terms, or apply as an offset to any obligation you may have to Airwallex, any such payments it receives on your behalf. You shall identify to your Payors that Airwallex is acting as your agent for purposes of receiving payment on your behalf. Any receipt provided to the Payor shall be binding on you and shall satisfy all applicable regulatory requirements. This clause 8.7 states the entirety of Airwallex’s duties as your agent for receipt of payment under the Collection Services in the United States, and no other duties shall be implied by Airwallex’s undertaking to act in that capacity.

6. CONVERSION SERVICES

6.1 Your instructions for FX Conversions. You may instruct us to make a FX Conversion by providing the necessary details as prompted in the Airwallex Platform.

6.2. Confirmation for FX Conversions. When we are satisfied your instructions are complete, we will issue you with a Confirmation with respect to the FX Conversion. We may decline your instructions if you do not have sufficient funds by the Settlement Cut-Off, you exceed any applicable limits, you request a FX Conversion which we deem to be a leveraged foreign exchange transaction, or for speculative purposes, or in accordance with clause 16. Once a Confirmation is issued, it is final and binding and cannot be cancelled (other than in accordance with clause 6.14 below). You must then settle with us the full amount of the FX Conversion in the relevant source currency in accordance with the terms of these terms.

6.3. FX Exchange Rate. You may access the indicative FX Exchange Rate for a FX Conversion through the Airwallex Platform (‘Rate’). The Rate will be quoted to you when you instruct us through the Airwallex Platform and the final FX Exchange Rate will be confirmed when we issue a Confirmation. We will ensure, as far as reasonably practicable, that the confirmed FX Exchange Rate reflects the rate quoted to you but you acknowledge that this is not always possible. The final FX Exchange Rate used to effect the FX Conversion may be different as the rate may have changed between the time of your instruction and the time we issue the Confirmation. You agree that changes to exchange rates come into effect immediately without notice.

6.4. Obtaining a rate or quote via API: You may request a Rate or a Quote by providing the necessary details via the Airwallex API. 

(a) A Rate will be provided in accordance with clause 6.3 above. The Rate is for information purposes and cannot be used to book or execute a FX Transaction;

(b) A Quote can be obtained for one or more Validity Periods. 

(i) To book a Spot FX Transaction or FX Forward Transaction using a Quote, you must submit the Quote ID specified in the relevant Quote when instructing Airwallex, through the Airwallex API, to make a FX Conversion or Payout in accordance with clauses 6 and 7.

(ii) You must not request or use Quotes for speculation or arbitrage. Quotes can only be used for genuine, commercial purposes. If we suspect or reasonably believe that you are requesting and/or using Quotes in breach of this clause 6.4(b)(ii), we may remove your access to this functionality or limit your ability to request and use Quotes at our discretion.

(iii) We may impose limits on your ability to request and use Quotes as we determine appropriate in our sole discretion in order to manage Airwallex’s risk and exposure.

6.5. Pre-Fund Spot FX Transactions. For a Pre-Fund Spot FX Transaction, you simultaneously: (i) order and agree to the FX Transaction; (ii) agree to have your Global Account (Payout and FX) debited by Airwallex; and (iii) agree to have your Global Account (Payout and FX) credited or payout made by Airwallex ("Pre-Fund Spot FX Transaction"). Consequently, the settlement of Pre-Fund Spot FX Transactions generally occurs simultaneously with the agreement to enter into the Pre-Fund Spot FX Transaction (or within two days in some circumstances).

6.6. Post-Fund Spot FX Transactions. For a Post-Fund Spot FX Transaction, you: (i) order and agree to the FX Transaction on a date ("Order Date"); (ii) agree to have your Global Account (Payout and FX) debited by Airwallex by Settlement Cut-Off; and (iii) agree to have your Global Account (Payout and FX) credited or payout made by Airwallex simultaneously with or immediately after the relevant debit is completed ("Post-Fund Spot FX Transaction"). Consequently, the Settlement Cut-Off of the Post-Fund Spot FX Transaction will generally be on either: (i) the Order Date; or (ii) up to two days after the Order Date. 

6.7. Open Position Limit. If you request and are granted Post-Fund Capability, you will be able to book Post-Fund Spot FX Transactions and/or FX Forward Transactions (including as part of Scheduled Transfers) up to a certain value (“Open Position Limit”), which will be specified by us in writing. You may be required to provide an amount of collateral which we will specify in response to your request for Post-Fund Capability (“Collateral”). If you fail to fund your Post-Fund Spot FX Transactions in accordance with this clause 6, we may suspend or cancel an Open Position Limit in our sole discretion and/or take steps to unwind the overdue Post-Fund Spot FX Transaction at the prevailing FX Exchange Rate and pass on all associated losses and costs to you, including by deducting from the Collateral.

6.8. FX Forward Transactions. You may request to book a FX Forward Transaction (including as part of a Scheduled Transfer) by providing instructions to us through the Airwallex Platform. The FX Exchange Rate (if applicable) will be specified at the time of booking unless approval is required in which case it will be at the time of approval. If we agree to your request we will provide you with a Confirmation setting out the details of the FX Forward Transaction, including Settlement Cut-Off and Settlement Date. You agree that it is your responsibility to check the Confirmation to ensure that it corresponds with your instructions and to ensure there are sufficient funds in the Global Account (Payout and FX) by the specified Settlement Cut-Off

6.9. You may only book FX Forward Transactions (including as part of Scheduled Transfers) for or in connection with a contract or arrangement (existing or proposed) wholly referable to the provision of property (other than currency) or services or employment at fair or market value (“Permitted Purpose”). FX Forward Transactions must not be used for investment or speculative trading purposes, conversion arbitrage, conversion options or any other activity that Airwallex determines is primarily for the purpose of gaining or making gains based on currency conversion rates.

6.10. If we reasonably believe that you intend to book, or have booked, the FX Forward Transaction (including as part of a Scheduled Transfer) other than for the Permitted Purpose, we:

(a) may decline to accept your instruction in respect of an FX ForwardTransaction and/or Scheduled Transfer; or

(b) if we have already accepted your instruction, we may cancel the FX Forward Transaction and/or Scheduled Transfer and deduct all associated costs from the Pre-Payment Amount.

6.11. FX Forward Transactions shall be settled by the physical delivery of foreign currency by us on the Settlement Date against the payment of any outstanding amount you owe to us in respect of the FX Forward Transaction. Where the FX Forward Transaction is booked as part of a Scheduled Payout, the Buy Currency will be delivered to the third party beneficiary that you have specified, in accordance with these Terms.

6.12. Pre-Payment Amount. At the time of booking a FX Forward Transaction or Scheduled Transfer, you will need to pay a percentage of the sell currency amount  (“Pre-Payment Amount”) . The Pre-Payment Amount will be specified during the booking process and will be deducted from your Global Account (Payout & FX) when your request to book the FX Forward Transaction or Scheduled Transfer is accepted by us. 

6.13. No advice. We will enter into FX Forward Transactions as principal and on an execution-only basis. Our FX Forward services do not include investment advice or personal recommendations. We do not provide any representations as to the suitability of any of our FX Forward Services. You are responsible for obtaining any legal, accounting, financial or tax advice you may need in determining whether any FX Forward Transaction or FX Forward Service is suitable for your needs or the needs of your business. Insofar as is permissible under all relevant rules, regulations and laws, we do not owe you any fiduciary duty or any similar obligation in respect of our FX Forward Services.

6.14. FX Limit Orders. You may request to book a FX Limit Order by specifying the desired FX Exchange Rate (“Target Rate) and expiry date at the time of booking. Provided that you have sufficient funds in the source currency at the time the Target Rate is reached or exceeded by the FX Exchange Rate, Airwallex will execute the FX Conversion under the same conditions as a Pre-Fund Spot FX Transaction (“FX Limit Order”). 

6.15. Settlement requirements for FX Conversion. You must pay sufficient funds into the Global Account (Payout and FX) in the relevant source currency to cover the full amount of any FX Conversion you wish to make on or before the Settlement Cut-Off. You may fund the FX Conversion by direct bank transfer to us or by other means acceptable to us. Without prejudice to any of our rights under these terms, you specifically acknowledge that if you have not paid sufficient funds into the Global Account (Payout and FX) to cover the full amount, we may deduct or set-off such amount against funds collected and held for you. If you fail to fund a FX Forward Transaction (including as part of a Scheduled Transfer), we may cancel and unwind the FX Forward Transaction and pass on all associated costs and fees to you (including any FX Delta).

6.16. Deposit for FX Conversions. You shall pay to us on demand a deposit for an FX Conversion in the amount as we may require from time to time. For the avoidance of doubt, we have the right to require you to pay additional amounts to increase the amount of the deposit at any time prior to the final settlement of such FX Conversion. You shall be obliged to deliver such amounts to the account designated by us within two (2) Business Days of our demand. If you fail to pay any deposit required by us in respect of any FX Conversion, we may deduct or set-off such amount against funds collected or held for the Customer, and/or we may cancel the FX Conversion transaction without prior notice to you and apply the deposit to the payment of any amounts due to us.

6.17. Cancelling a FX Transaction. After a FX Transaction Confirmation is issued but before Settlement of the FX Transaction, you may make a Cancellation Request via the Airwallex API or by contacting your Airwallex Account Manager, which will be confirmed in a Cancellation Confirmation issued by Airwallex. Any delta between the FX Exchange Rate quoted in the Confirmation and the FX Exchange Rate applicable to a Reverse Conversion in furtherance of a Cancellation Request (“Cancellation Delta”) will be debited from or credited to your Global Account (Payout and FX), as applicable. You may not withdraw, amend, or cancel a Cancellation Request after Airwallex has issued a Cancellation Confirmation. If the Cancellation Request is made after Settlement Cut-Off, Airwallex may charge a fee for late cancellation.

6.18. Limits. We may impose reasonable daily or other limits on the amount of Payouts or FX Conversions you may enter into. Airwallex will use reasonable endeavours not to impose limits that will reduce any benefit received by you as a result of this Agreement, but may, and without limitation, have regard to the following matters when deciding to set a limit: (1) the protection of you and other users on the Airwallex Platform, (2) our Acceptable Use Policy, (3) compliance with Applicable Laws, or (4) loss or potential losses that may be suffered by us or any third party.

7. PAYOUT SERVICES

7.1. Your instructions for Payouts. You may instruct us to make a Payout by providing the necessary details as prompted in the Airwallex Platform. You may schedule a Payout to be made up to 180 days in advance (“Scheduled Transfer”). If a Payout (including a Scheduled Transfer) involves currency conversions between Supported Currencies (e.g. the source currency is different from the payout currency), we will also provide you with our FX Conversion Services as an ancillary service to the Payout Services. Each Payout (including a Scheduled Transfer) is an individual contract between you and Airwallex.

7.2. Confirmation of Payouts. When we are satisfied your instructions are complete, we will issue you with a Confirmation with respect to the Payout or Scheduled Transfer. We may decline your instructions if you do not have sufficient funds by the Settlement Cut-Off, you exceed any applicable limits, or in accordance with clause 19. Once a Confirmation is issued,  it is final and binding and the Payout or Scheduled Transfer cannot be cancelled by you other than in accordance with clause 7.5 below. You must settle with us the full amount of Payout or Scheduled Transfer in accordance with clause 7.4 below.

7.3. Settlement requirements for Payout Services. You must pay sufficient funds into the Global Account (Payout and FX) in the relevant source currency to cover the full amount of any Payout or Scheduled Transfer you wish to make on or before the Settlement Cut-Off.

(a) For Payouts, the full amount of the source currency must be available in your Global Account (Payout and FX) at the time of booking the Payout;

(b) For Scheduled Transfers, the full amount of the source currency must be available in your Global Account (Payout and FX) by Settlement Cut-Off. Where the Scheduled Transfer involves a FX Transaction, the Pre-Payment Amount must be available in the source currency in your Global Account (Payout and FX) at the time of booking the Scheduled Transfer and the balance of the source currency must be available in your Global Account (Payout and FX) by Settlement Cut-Off. The respective amounts will be specified at the time of booking.

7.4. Execution time for Payouts. If you ask us to make a Payout, we will make the Payout as soon as reasonably practicable and, in any event, generally within 24 hours after we accept your instructions. Scheduled Transfers will be made in accordance with the Confirmation issued by us on receipt of your instructions. The methods of crediting the funds may be provided by third parties (for example, the bank where the payee has their bank account) and are not part of our Services. We do not have any control over the amount of time it may take for a payee’s bank or payment provider to credit funds to the payee, but would generally expect this to take less than 5 Business Days, unless a longer period is required by us to comply with Applicable Law.

7.5. Cancelling a Payout or Scheduled Transfer. You may request to cancel a Payout or Scheduled Transfer before Settlement of the Payout or Scheduled Transfer by making a Cancellation Request via the Airwallex API or by contacting your Airwallex Account Manager. If a Cancellation Request is granted, Airwallex will issue a Cancellation Confirmation. Where the Payout has an associated FX Conversion, any Cancellation Delta that arises from reversing the FX Conversion will be debited from or credited to the your Global Account (Payout and FX), as applicable. You may not withdraw, amend, or cancel a Cancellation Request after Airwallex has issued a Cancellation Confirmation. If the Cancellation Request is made after Settlement Cut-Off, Airwallex may charge a fee for late cancellation. 

7.6. Airwallex Pay Service. You may instruct us to authorize and/or make Payouts to customers of Airwallex Group Companies (‘Airwallex Pay Service’) in connection with the purchase of goods and services. 

(a) Currency Conversion. You may make Payouts through the Airwallex Pay Service in Supported Currencies. If your transaction is in a Supported Currency, the amount of your transaction shall be invoiced to you in that Supported Currency. If you do not have sufficient funds in the relevant Supported Currency, Airwallex may allow you to make an FX Conversion before the Payout. We will not reverse such FX Conversion if you receive refunds or other funds from reversed Airwallex Pay Transactions. 

(b) Refunds. You will receive refunds from merchants in the same Supported Currency as your initial Payout. 

(c) Authorization and Suspension. Payout through Airwallex Pay Service (‘Airwallex Pay Transaction’) may require our authorization. We may in our reasonable discretion deny authorization and/or suspend your use of Airwallex Pay Service without giving you any notice, including (but not limited to) in circumstances where (i) you have not sent sufficient funds to the Global Account (Payout and FX), (ii) the requested transaction exceeds any transaction limit that we may set in connection with your use of Airwallex Pay Service from time to time; (iii) we suspect that there is fraud or a security issue; or (iv) we suspect that Airwallex Pay Service is being used for an illegal purpose. Before we authorize an Airwallex Pay Transaction, we may require you to confirm your identity by following certain steps specified by us. You acknowledge and agree that we are not liable to you or any other person for any loss suffered as a result of an authorization not being granted. 

(d) Goods and Services. We are not responsible for, nor make any representations or warranties in respect of, the quality, safety, legality, or any other aspect of any goods or services that you purchase using Airwallex Pay Service. We are not liable for any loss arising from any merchant refusing to accept your Payout. Any complaints, claims or disputes about any goods or services purchased using Airwallex Pay Service must be resolved directly with the merchant concerned in the transaction. You are not entitled to withhold payment from us because of any unresolved complaint, claim or dispute with a merchant.

(e) Transaction limits. We may from time to time set transaction limits on your use of the Airwallex Pay Service, which may be on a per day or per transaction basis. We may cancel or temporarily suspend your Airwallex Pay Transaction or Airwallex Pay Service with immediate effect by giving you written notice if we have reasonable grounds for suspecting that the security of your Airwallex Profile is compromised or you have breached these Terms.

(f) Your liability. You will remain liable for all transactions made through your Airwallex Profile.  You will be liable for all unauthorized transactions where you have contributed to the loss by:

(i) breaching or compromising the security of your Airwallex Profile; 

(ii) delaying the reporting of the theft or misuse of your Airwallex Profile or credentials; or 

(iii) breaching these terms,

in which case you will be liable for all losses until such time as you notify us of the theft or misuse of your Airwallex Profile or credentials.

(g) Reversal of Airwallex Pay Transaction

(i) You may request to reverse Airwallex Pay Transactions in very limited cases such as fraud or manifest error. In such circumstances, you must make the request in writing to us and we shall determine in our sole discretion whether to accept or reject the request. You may not request to reverse an Airwallex Pay Transaction on the basis of a dispute with the merchant about the related goods and services. 

(ii) You must raise a reversal request to us within 120 days of the original Airwallex Pay Transaction and provide us with any information we ask for to support your request. 

(iii) If we are satisfied after considering your request that you are entitled to partially or fully reverse the Airwallex Pay Transaction and are able to receive funds returned from the relevant merchants, the reversed amount will be credited to your Airwallex account in the original currency of the Airwallex Pay Transaction. 

8.A DIRECT DEBIT

8.a.1. Airwallex may enable you to link one or more accounts at a third party financial institution to its Intermediary Account (each such account a “Linked Account”). A Linked Account may be used to credit or transfer funds to the Intermediary Account in Supported Currencies for the purpose of making Payouts and/or FX Conversions, until the Direct Debit Authorization is revoked.

8.a.2. To enable you to make use of the Direct Debit Product, you hereby authorize Airwallex to debit your Linked Account as set out in the Direct Debit Product Documentation or the Direct Debit Authorization. You may amend, revoke, or cancel the Direct Debit Authorization at any time by providing Airwallex thirty (30) calendar days’ prior written notice. You acknowledge after having sent notice to amend, revoke, or cancel a Direct Debit Authorization, that you may be required to close its Airwallex account and will no longer be provided with certain Services.

8.a.3. To verify ownership of your Linked Account, without limiting clause 3.7, Airwallex may perform a micro transaction validation process, whereby Airwallex will credit a small amount (a “Micro Transaction”) into your Linked Account. Airwallex will request confirmation from you of the exact amount(s) of such Micro Transaction. If you fail to provide confirmation of the amount of the Micro Transaction within one business day, you will not be able to use the Direct Debit Product.

8.a.4. In addition, to verify ownership of a Linked Account, Airwallex reserves the right at any time to request additional information from you, including but not limited to bank statements, or voided checks.

8.a.5. You acknowledge that Airwallex imposes limits on the amounts that may be collected, or paid out, via direct debit. Airwallex shall, at its sole discretion, determine such limits and may change the limits from time to time by providing written notice to you.

8.a.6. To the extent required by the Applicable Laws, Airwallex shall notify you that your Linked Account will be debited in accordance with the Direct Debit Product Documentation and the Applicable Laws.

8.a.7. You shall at all times comply with the Direct Debit Product Documentation and the Direct Debit Authorization when using the Direct Debit Product.                                             

8. REVERSALS AND REJECTIONS

8.1. Reversals. We may need to reverse any funds sent or received in connection with the Services, and either deduct funds we have received as part of the Services or return funds we have received as part of the Services, including in the following circumstances:

(a) the sender, or any relevant Payout Services provider, reverses a transaction or is likely to reverse a transaction;

(b) the sender made a transfer to you by mistake;

(c) you have provided us with incorrect instructions for the transaction;

(d) we suspect that a transaction is fraudulent, or is in breach of these terms or Applicable Law; or

(e) we exercise our rights under clause 19.

You must reimburse us as soon as possible, as set out in clause 9.5. If we reverse a transaction, we will, in our sole discretion, do this at the prevailing FX Exchange Rate applicable at the time of the reversal or at the original FX Exchange Rate applicable to the transaction. You may request to configure your account so that any reversed transaction that results in a refund to you is paid in the source currency or the target currency, if supported. If the refund requires a FX Conversion, any associated FX Delta will be credited to or debited from your Global Account (Payout and FX) as applicable.

8.2. Rejected Transactions. We may withhold, reject, or delay any funds received, exchanged or sent in the following circumstances:

(a) no valid exchange rates are available from our correspondent banking partners, liquidity providers, or other financial institutions;

(b) any relevant anti-money laundering or counter financing of terrorism limits are exceeded;

(c) you have not complied with your obligations under these terms, the Acceptable Use Policy or under Applicable Law; or

(d) we exercise our rights under clause 19.

8.3. Failed Transactions. We may, in our sole discretion and without liability to you, cancel any FX Conversion or Payout, or delay any FX Conversion or Payout by rolling it over to the next Conversion Date or Payout Date (as applicable), where we need to do so due to reasons outside of our reasonable control, such as where there are insufficient funds.

8.4. Insufficient funds. Where there are insufficient funds for one or more FX Conversions and/or Payouts at Settlement Cut-Off, Airwallex reserves the right to make the FX Conversion or Payout at its discretion (for example, on a time basis, converting the earliest booked FX Conversion or Payout up to the value of the funds available to Airwallex at the applicable Conversion Date or Payout Date). The remaining booked FX Conversions will be treated as failed transactions, and will incur the relevant break costs and administration fees.

8.5. Transfers using correct details. In each case, you will need to ensure the funds are transferred to us using the correct bank details and any unique transaction reference number details specified by Airwallex. If you do not provide accurate details, then we may not be able to receive the funds and record the amount in the relevant account. In such cases, we will not be liable for any loss you may suffer or incur, although we will use reasonable efforts to investigate and credit or return incorrect and inaccurately referenced payments into or from your account.

8.6. Excess funds. When you pay into the Global Account (Payout and FX), you must give us an accurate and complete instruction in relation to a Payout or FX Conversion. If you do not give us an accurate or complete instruction we may, at our sole discretion: (a) return the funds to the sender; (b) remit the funds to your Linked Account as notified to us; or (c) remit the funds to you in any other way, subject to any Applicable Law.

9. SAFETY AND SECURITY

9.1. Keep your Airwallex Profile safe. In order to use the Airwallex Platform, you (or your Authorised User) must log in using the unique password and any multiple-factor authentication: for example, we may require your Authorised User to authenticate that they are the Authorised User when logging in to the Airwallex Platform, or for certain transactions made using the Airwallex Platform. You must store all log-in information and passwords to access the Airwallex Platform safely and securely at all times and only allow Authorised Users to access the Services.

9.2. Contact us if you suspect your Airwallex Profile may be compromised. You must contact us immediately by email to [email protected] and change your password if you suspect:

(a) your Airwallex Profile, or access to the Airwallex Platform or other security credentials are stolen, lost, used without your authorisation or otherwise compromised; or

(b) someone else finds out your log-in information and password for your Airwallex Profile or User Profile.

Any undue delay in notifying us may affect the security of your Airwallex Profile, or access to the Airwallex Platform and may result in you being responsible for any financial losses.

9.3. Check the transactions in your accounts regularly. All of your activity is displayed in the Airwallex Platform. You must contact us immediately by email to [email protected] to report any suspected or actual unauthorised transaction or other security concerns regarding the Airwallex Platform. We may be able to refund money you have lost if the transaction is due to our mistake, fraud, or errors with your transaction (see clause 9.4). If you do not notify us of any unauthorised, or incorrectly initiated or executed transactions immediately, you may lose the right to have the matter corrected or money refunded. You also may not be able to claim a refund if:

(a) you have breached these terms or any Applicable Law;

(b) you gave us incorrect instructions for the transaction (in which case, we may reasonably assist you to recover the funds, where possible, but we do not guarantee that this would be successful); or

(c) any losses are not the direct result of our act or omission.

9.4. Unauthorised transactions. We are not liable for unauthorised transactions that are caused outside of the direct control of Airwallex. In particular, but without limitation, we are not liable (and you will be solely liable for all losses):

(a) if you do not promptly notify us of security issues;

(b) if we find that you or your Authorised Users, or anyone else acting on your behalf, has acted fraudulently or recklessly (and we will not refund you in any circumstances);

(c) if you have with intent or gross negligence compromised the security of your Airwallex Profile or the Airwallex Platform or failed to comply with your obligations to use them in accordance with these terms, and to keep all log-in information and passwords confidential and secure;

(d) if you gave us incorrect instructions for the Payout (we may reasonably assist you to recover the funds, where possible, but we do not guarantee that this would be successful); and

(e) in any other circumstance outside of our direct control to the extent permitted by Applicable Law.

9.5. Reimbursements. Where we refund you for an unauthorised transaction but subsequently find that you did not comply with your obligations under this clause 9, you must reimburse us for the value of the unauthorised transaction.

9.6. Acknowledgements. You acknowledge that:

(a) Airwallex will not be responsible for or otherwise guarantee the performance of any transaction you enter into via the Airwallex Platform;

(b) you must obtain and use any equipment or telecommunications lines and connections that may be necessary for you to use or connect with the Airwallex Platform;

(c) certain software and equipment you use may not be capable of supporting certain features of the Airwallex Platform; and

(d) it is your responsibility to configure and update your information technology, software and equipment in order to access the Services or the Airwallex Platform.

9.7. Your liability. You will be liable for all costs, charges, claims, damages, fees, disbursements, losses, expenses, fines, and liability suffered or incurred by Airwallex arising out of or in connection with: (i) (where applicable) your incorrect instructions, overpayment, payment error, or other invalid payment you cause; (ii) any error, default, negligence, misconduct, or fraud by you, your employees, directors, officers, or representatives, or anyone acting on your behalf; and (iii) any costs, charges, claims, damages, fees, disbursements, losses, expenses, fines and liability suffered or incurred by Airwallex in respect of a failure by you to comply with these terms, including but not limited to, this clause 9.

10. FEES & CHARGES

10.1. Service Fees. You will pay us the Service Fees for the Services, which are set out in the fees table available on www.airwallex.com or as otherwise agreed in writing with us. The Service Fees are charged separately depending on the Service you use, for example:

(a) Collection Services: Service Fees for Collection Services generally involve a set percentage fee on funds collected for you.

(b) Payout Services: Service Fees for Payout Services generally involve a fee depending on whether you are paying using local channels or SWIFT payment channels.

(c) FX Conversion Services. Service Fees for FX Conversion Services generally involve a Customer Margin charged on top of the FX Base Rate.

10.2. Changes to Service Fees. Unless we agree otherwise in writing, we may revise the Service Fees at any time and the revisions will take effect from the date we notify you that they will apply.

10.3. Tax. All amounts payable to us under these terms:

(a) are exclusive of all taxes and similar fees now in force or enacted in the future, all of which you will be responsible for and will pay in full;

(b) will be paid in full without any set-off, counterclaim, deduction or withholding unless prohibited by Applicable Law. If you are obliged by Applicable Law to deduct withholding tax from any payment: (i) you will promptly notify Airwallex of the requirement; (ii) the Parties will make all necessary filings in order to ensure the provisions of any applicable tax treaty applies to the payment; (iii) you will pay to Airwallex such additional amount as will result in the receipt by Airwallex of the full amount which would otherwise have been receivable had no withholding or deduction been payable; (iv) you will pay to the relevant authorities the full amount required to be deducted or withheld when due; and (v) you will promptly forward to Airwallex an official receipt (or a certified copy), or other documentation reasonably acceptable to Airwallex, evidencing payment to such authorities.

10.4. Obligation to pay amounts owing. You must immediately pay any amount owing to us, including as a result of any reversals, returns, fees, charges or other transactions, and we may suspend your use of the Services and access to any associated accounts until we receive such payment.

10.5. Authority to deduct amounts you owe us. We may deduct any amounts that you owe us from time to time from the funds we collect or receive as part of the Services or from any amount provided as security pursuant to clause 10.6 of these terms. If you do not have enough funds to pay the amount you owe us, we may, at your cost, take reasonable steps to recover this amount (such as taking legal action or using debt collection services).

10.6. Security. We may, at any time, require that you procure, within 30 days (or such longer period as we may determine is reasonable) after receiving our written request, a guarantee, indemnity or other security (including the replacement of any existing security) in such form and over such assets as we may reasonably require to secure to our reasonable satisfaction the performance of your obligations (including contingent or potential obligations) from time to time under these terms.

11. INTELLECTUAL PROPERTY RIGHTS

11.1. Licence. Subject to your compliance with these terms and other applicable terms for our products and services, we grant you a personal, revocable, non-transferable, non-sublicensable and non-exclusive licence to access and use (i) the Airwallex Technology in connection with the Services and any services provided under any supplementary terms to these terms; (ii) if applicable, the Airwallex Technology in connection with any services provided under the Payments Terms; and (iii) any applicable Product Documentation ('Airwallex Materials').

11.2. Ownership. We own all Intellectual Property Rights in and to the Airwallex Materials and its proprietary technology, including its software (in source and object forms), algorithms, user interface designs, architecture, and documentation (both printed and electronic), and network designs, and including any modifications, improvements, and derivative work thereof. These terms, the supplementary terms and the Payment Terms (as applicable) does not transfer from Airwallex to you any ownership rights in the Airwallex Materials, and its proprietary technology.

11.3. Restriction on use. You do not have any right to our Services, including the Airwallex Materials, other than the right to use them in accordance with the licence granted in clause11.4. Except as allowed by Applicable Law or by Airwallex, you cannot use, distribute, reproduce, modify, copy, adapt, translate, create derivative works from, transfer, loan, rent, sublicense, sell, frame or otherwise re-publish or redistribute, publicly perform or publicly display any part of our Airwallex Materials, Airwallex Technology, or included software. You will not allow any unauthorised person to access or use the Airwallex Technology, or trade on the Airwallex Technology for speculative purposes. Except as expressly permitted by Applicable Law (but not otherwise), you also cannot reverse engineer, decompile, disassemble or attempt to extract the source code of the Airwallex Technology or software.

11.4. Using your Data. You grant Airwallex a royalty-free, non-exclusive, irrevocable, transferable and sub-licensable licence to any Group Company, third party supplier and outsourcer, to use your Customer Data and Payment Data, for the purposes of operating the Airwallex Technology, providing the Services, and fulfilling Airwallex’s rights and discharging its obligations under these terms, any supplementary terms and/or Payments Terms (as applicable). You are solely responsible for the quality, accuracy, and completeness of any Customer Data and Payment Data transmitted via the Airwallex Technology.

11.5. Other people’s rights. You will not use our Services, including the Airwallex Materials, in any way that infringes or violates our or anyone else’s copyright, trade mark or other intellectual property rights or otherwise breaks any Applicable Law. The Airwallex Materials may display content that we do not own, and we are not responsible for. You may not use content from any of our Services, including the Airwallex Materials, unless you get permission beforehand from us or the owner of the content, or you are permitted by law.

11.6. Airwallex compensation. If a third party alleges that the authorised use of the Airwallex Materials as permitted by these terms infringes any Intellectual Property Rights, then Airwallex will:

(a) at its own expense defend you or, at Airwallex’s option, settle any claim or action brought against you (‘Claim’) and will be responsible for any reasonable losses, damages, costs (including reasonable legal fees) and expenses incurred by or awarded against you as a result of or in connection with any such Claim, and clauses 18.2 to 18.4 will apply accordingly; and

(b) if the quiet enjoyment of the Airwallex Materials is prevented, Airwallex will as soon as reasonably practicable secure the right for you to continue using the Airwallex Materials or replace or modify the Airwallex Materials to make it non-infringing (without degrading its performance or quality).

11.7. Exclusions. Clause 14.6 will not apply where the Claim is attributable to:

(a) any Customer Data;

(b) any modification of the Airwallex Materials, other than by or on behalf of Airwallex;

(c) your possession or use of the Airwallex Materials (or any part of it): (i) other than in accordance with these terms; or (ii) in combination with any other products, services, or materials if the Airwallex Materials would not be infringing without such combination;

(d) use of a non-current release of the Airwallex Materials; or

(e) compliance with your specifications or instructions.

11.8. Promotion. You agree that we may include and use your company name, logos, trade name, trademarks and general business information in our promotional and marketing materials for our Services and on our website. You may at any time and upon reasonable notice request in writing that we stop using your company name, logos, trade name, trademarks and general business information for these purposes.

11.9. Airwallex Marks. All Airwallex Marks owned or used by Airwallex in the course of its business are the property of Airwallex. Airwallex reserves all Intellectual Property Rights in relation to the use of the Airwallex Marks. You may not use the Airwallex Marks or any similar marks without the prior written consent of Airwallex.

12. CONFIDENTIALITY, PRIVACY AND USE OF DATA

12.1. Confidential Information. You acknowledge that you may have access to Confidential Information belonging to us and that you must keep such information confidential in accordance with the terms of these terms.

12.2. Confidentiality Undertakings. You agree that you:

(a) will not disclose any of our Confidential Information to any third party except as required: (i) by law or any authority of competent jurisdiction; (ii) to your attorneys, accountants and other advisors as reasonably necessary; or (iii) for the purposes of defending itself in relation to actual or threatened proceedings, provided that in respect of (i) and (iii) above, you will give us reasonable notice in advance of such required disclosure, together with such details as we may request (where notice to us is permissible under Applicable Laws); and

(b) will take reasonable precautions to protect the confidentiality of such information, at least as stringent as those taken to protect its own Confidential Information.

12.3. Disclosures to employees and agents. In addition, you may only reveal our Confidential Information only to your agents, representatives and employees who have a ‘need to know’ such information in connection with these terms, and are informed of the confidential nature of such Confidential Information and agree to act in accordance with the terms and conditions of this clause 15. You will remain liable for any disclosure of Confidential Information by your agents, representatives and employees as if you had made such disclosure.

12.4. Privacy and Personal Data. The protection of Personal Data is very important to us. In addition to these terms, our Privacy Policy explains how and for what purposes we collect, use, retain, disclose, and safeguard the Personal Data you provide to us. You agree to review the terms of our Privacy Policy, which we update from time to time.

12.5. Purposes. You agree to share Personal Data with Airwallex and authorise Airwallex to collect, use, store or otherwise process such Personal Data for the following ‘Agreed Purposes’, to enable us to:

  • assist in providing information to you about a product or service;

  • consider your request for a product or service;

  • enable us to provide a product or service;

  • manage Airwallex’s relationship with the Customer;manage accounts and perform other administrative and operational tasks (including risk

  • management, systems development and testing, credit scoring, staff training, collecting debts and market or customer satisfaction research);

  • design new products and services or improve existing products and services provided by us;

  • general and specific communication between us and you;

  • consider any concerns or complaints you raise against us, to manage any legal action involving Airwallex, or both;

  • carry out any enforcement activities including to collect any money due from you;

  • identify you or establish your tax status under any local or foreign legislation, regulation or treaty or pursuant to an agreement with any tax authority;

  • identify, prevent or investigate any fraud, unlawful activity or misconduct (or suspected fraud, unlawful activity or misconduct);

  • comply with all Applicable Law, including conducting anti-money laundering, financial crime and other screening checks;

  • verify any information and records relating you;

  • comply with these terms and the Privacy Policy;

  • enable an actual or proposed assignee(s) of all or any part of our business and/or assets to evaluate the transaction intended to be the subject of the assignment and to enable the actual assignee(s) to use the Personal Data provided by you in the operation of the business; and

  • for any other purpose set out in our Privacy Policy.

12.6. Data Subjects. The categories of Data Subjects who we may collect Personal Data about may include the following where they are a natural person: the Customer, the directors and ultimate beneficial owner(s) of the Customer, your customers, employees and contractors, payers and payees. You may share with Airwallex some or all of the following types of Personal Data regarding Data Subjects:

  • full name;

  • email address;

  • phone number and other contact information;

  • date of birth;

  • nationality;

  • public information about the data subject;

  • other relevant verification or due diligence documentation as required under these terms; and

  • any other data that is necessary or relevant to carry out the Agreed Purposes.

12.7. Compliance. Neither party will knowingly perform its obligations under these terms in a way that causes the other party to breach applicable Data Protection Legislation. Neither party will be responsible for any consequences resulting from the other party’s failure to comply with applicable Data Protection Legislation in relation to Personal Data that it shares.

12.8. Undertakings. To the extent either you or Airwallex processes Personal Data, each party will:

(a) process the personal data fairly and lawfully and ensure it has legitimate grounds under Data Protection Legislation for such processing;

(b) obtain and maintain all appropriate registrations required under Data Protection Legislation to allow it to use the personal data in accordance with these terms;

(c) ensure appropriate technical and organisational security measures are in place to protect Personal Data under its control;ensure that all personnel who have access to and/or process the Personal Data are obliged to keep it confidential;

(d) transfer Personal Data between jurisdictions only where it has taken appropriate measures to make such a transfer lawful under Data Protection Legislation;

(e) notify the other party promptly if it receives any request, complaint or other communication from a data subject or a Regulatory Body that is addressed to or intended for the other party; and

(f) notify the other party promptly if it becomes aware of a Personal Data breach that is directly relevant to the other party.

12.9. Data Security. You will ensure that any Personal Data that is transferred to Airwallex is transferred by a method and means that is secure and compliant with Data Protection Legislation in addition to any other reasonable information security requirements specified by us.

12.10. Cooperation. Each party will be responsible for responding to requests from supervisory authorities or individuals exercising their rights under applicable Data Protection Legislation. Each party will provide the other with reasonable cooperation and assistance to comply with all obligations imposed on them by the Data Protection Legislation and any relevant Applicable Law, including: (i) dealing with and responding to any communications from Data Subjects; (ii) dealing with, mitigating and responding to any breach of personal data; and (iii) with respect to security, impact assessments and consultations with supervisory authorities or Regulatory Bodies.

12.11. Data Disposal. On termination of these terms, or once processing of any Personal Data is no longer necessary to carry out the Agreed Purposes, each party will securely dispose of any such Personal Data in its possession required by Applicable Law.

12.12. Data Security. We will take all steps required under Data Protection Legislation to ensure appropriate information security safeguards are put in place regarding such disclosure.

12.13. Personal data you provide about someone else. If you give us Personal Data about someone else, including (but not limited to) your Authorised Users, your director and ultimate beneficial owner(s), your customers, employees and contractors, payers and payees, you undertake that we may rely on you to obtain such other persons' consent for disclosing their Personal Data to us which we will use in accordance with the terms of these terms. You are required to show them information about these provisions so that they may understand the manner in which their Personal Data may be collected, used and disclosed by Airwallex in connection with your dealings with us and our use of their Personal Data including our use of Personal Data for Direct Marketing purposes and their consent to our use of their Personal Data provided by you on their behalf.

13. DISCLOSURE OF INFORMATION AND USE OF PERSONAL DATA FOR DIRECT MARKETING

13.1. We may disclose your information to others. Airwallex may disclose your Customer Data, Payment Data and Personal Data, including any Confidential Information, to:

  • any branch, subsidiary, holding company, associated company, affiliate or related entity of Airwallex;

  • any agent, contractor or service provider that we engage or propose to engage to carry out or assist us with our functions and activities who is under a duty of confidentiality to keep such information confidential;participants in the payments system including card schemes, financial institutions and payments organisations such as Society for Worldwide Interbank Financial Telecommunication;

  • any person to whom Airwallex may enter into any assignment, fundraising, share purchase or other commercial agreement who is under a duty of confidentiality to keep such information confidential;

  • any person to whom information is permitted or required (or expected) to be disclosed by any applicable law or regulation or pursuant to any order of court;

  • any referee or representative or yours (including any professional advisor, broker, introducer, attorney or executor);

  • any third party provider of collateral, security or credit support (if any);

  • credit reference agencies, and, in the event of default, to debt collection agencies;

  • any of your agents you have authorised or who is authorised under law such as an administrator or trustee in bankruptcy or your legal representative; and

  • any actual or proposed assignee of all or any part of our business and/or assets and/or interests of Airwallex.

13.2. Use of Personal Data in Direct Marketing

We may use the Personal Data provided by you in direct marketing and we require consent (or an indication of no objection) from the Data Subject for that purpose. In this connection, please note that:

  • the name, contact details, products and other service information, transaction pattern and behavior, financial background and demographic data of the Data Subjects held by us from time to time may be used by us in direct marketing;

  • the following classes of services, products and subjects may be marketed:

    • financial, insurance, credit card, banking and related services and products;

    • reward, loyalty, co-branding or privileges programmes and related services and products;

    • services and products offered by our co-branding partners (the names of such co- branding partners will be provided during the application for the relevant services and products, as the case may be); and

    • donations and contributions for charitable and/or non-profit making purposes;

  • the above services, products and subjects may be provided by us or (in the case of donations and contributions) solicited by us and/or any of the following:

    • any branch, subsidiary, holding company, associated company, affiliate or related entity of Airwallex;

    • third party financial institutions, insurers, credit card companies, securities and investment services providers;

    • third party reward, loyalty, co-branding or privileges programme providers;

    • co-branding partners of Airwallex or any branch, subsidiary, holding company, associated company, affiliate or related entity of Airwallex (the names of such co- branding partners will be provided during the application of the relevant services and products, as the case may be); and

    • charitable or non-profit making organisations.

If you (or any persons for whom you provide the Personal Data to us) do not wish us to use or provide to other persons his or her Personal Data for use in direct marketing as described above, you and such persons for whom you provide the Personal Data to us (as the case may be) may exercise the right to opt-out by notifying us.

14. LIMITATION OF LIABILITY

14.1 Liabilities. Nothing in these terms excludes or limits either party’s liability where it would be unlawful to do so. This includes a party’s liability for:

(a) death or personal injury resulting from its negligence;

(b) fraud or fraudulent misrepresentation; or

(c) all sums properly due and payable under these terms.

14.2. Direct Losses. Direct Losses will be recoverable under these terms. However, save as otherwise stated in these terms, neither party will be liable for any Indirect or Consequential Losses.

14.3. Exclusions. We will not be liable to you for:

(a) any loss outside of our direct control that arises from the negligence, fraud or wilful misconduct or the insolvency of any third-party correspondent bank, liquidity provider, or other financial institution who is part of the payment network used to provide the Services;

(b) the non-execution, or defective execution, of a Payout if any information you provide in your instructions is incorrect; or

(c) errors, mistakes, or non-performance arising from the payee/beneficiary bank if the payee/beneficiary bank fails to process the payment correctly.

In the case of (b) or (c), we will make reasonable efforts to recover the funds involved in the payment. You will be responsible for all costs incurred by us as part of any such recovery attempt, even if we are unable to successfully recover the funds.

14.4. Aggregate Liability. Save as set out in clause 17.5, Airwallex’s total aggregate liability to you for all Actions arising out of or in connection with these terms will not exceed the total amount of Service Fees paid by you to Airwallex during the one (1) year period prior to the date the liability first arose.

14.5. Liability with respect to FX Conversion. To the fullest extent permitted by Applicable Law, Airwallex’s maximum liability for a FX Conversion, whether arising in contract, tort or otherwise, will in no circumstances exceed an amount equal to the currency sold by Airwallex under that FX Conversion.

14.6. Equitable Relief. Damages alone may not be an adequate remedy for breach and accordingly either party will be entitled to seek the remedies of injunction, specific performance or other equitable relief for any threatened or actual breach.

14.7. Mitigation. Each party agrees to use reasonable endeavours to mitigate any loss in respect of which it is indemnified under these terms.

15. INDEMNITY

15.1. Customer’s indemnity. You will indemnify us on demand against all losses, damages, costs (including reasonable legal fees) and expenses incurred or suffered by us in connection with or as a result of:

(a) your breach of these terms, failure to comply with Applicable Law, failure to comply with the Acceptable Use Policy, or your use or misuse of our Services;

(b) a third party alleging that our use of the Customer Data as permitted by these terms infringes any Intellectual Property Rights;

(c) any of your Payouts or FX Conversions, including us acting on any of your instructions which we reasonably believe to have been made by you or your Authorised User; or

(d) the closure or cancellation of all or any part of a FX Conversion or Payout before its Conversion Date or Payout Date, including if we have to do so due to you failing to provide funds for the FX Conversion or Payout.

15.2. Third party Claim. This clause 15.2 and clauses 15.3 and 15.4 apply in respect of the obligations in this clause 15, clause 11.6 and clause 19. If a party becomes aware of any claim or proceeding which might lead to a claim under this clause 15, clause 11.6 or clause 19 (each, a ‘Third party Claim’), the party will promptly notify the other party in writing and, subject to the other party complying at all times with clause 15.3, the first party will:

(a) allow the other party to control the defence of such Third party Claim; and

(b) at the request and expense of the other party, provide reasonable assistance for the other party to defend any such Third party Claim.

15.3. Defence. If the other party assumes the defence of a Third party Claim, the other party will:

(a) promptly notify the first party that it has assumed such defence;

(b) at all times have regard for the interests and reputation of the first party and comply with all applicable court rules in the defence of such Third party Claim;

(c) consult and keep the first party informed, in relation to any negotiations, settlement or litigation; and

(d) not, without the prior written consent of the first party, enter into any settlement or compromise of the Third party Claim that involves a remedy other than the payment of money.

15.4. Indemnification. If the other party does not assume the defence of a Third party Claim in accordance with clause 15.3 within 14 days of being notified in writing of that Third party Claim, the first party, or a Person designated by the first party, may defend the Third party Claim in such manner as it may deem appropriate, and the other party will indemnify the first party on demand in relation to all costs, claims and liabilities incurred by the first party in relation to such Third party Claim.

15.5. Break costs. Without limiting any other provision of these terms, if we have funded or arranged to fund all or part of any FX Conversion or Payout on your instruction, and you have cancelled or failed to fully fund that FX Conversion or Payout, you will indemnify us on demand against any losses, damages, costs (including reasonable legal fees) and expenses incurred or suffered by us as a result of the investment, deposit or other deployment of that funding or the unwinding of any arrangement for that funding.

16. TERMINATION AND SUSPENSION

16.1. Closing your Airwallex Profile. You can close your Airwallex Profile by stopping the use of the Services and terminating these terms at any time by giving us 30 calendar days prior written notice.

16.2. Airwallex’s rights to suspend or terminate. We may terminate these terms (or any Additional Terms) at any time by giving you 30 calendar days prior written notice. In addition, we may without notice immediately suspend or terminate all or any part of these terms, any Additional Terms or any of the Services, or block any transactions, if:

(a) we suspect criminal activity in connection with your Airwallex Profile, that your Airwallex Profile is being used fraudulently, or we reasonably believe you have fraudulently requested a refund for an unauthorised transaction;

(b) we reasonably believe you are in breach of Applicable Law or about to breach an Applicable Law;

(c) we are legally required to do so, including as directed by any relevant Regulatory Body;

(d) you have breached any provision in these terms or breached any applicable limits or restrictions in the Acceptable Use Policy;

(e) you have given us false or inaccurate information, or we have been unable to verify any information you have provided;

(f) you notify us, or we suspect or identify, any suspected or actual unauthorised transactions;

(g) you have been placed on any national or international restricted or prohibited lists, which prevents us from doing business with you;

(h) you have been abusive to anyone at Airwallex;

(i) you have not accepted changes to these terms;

(j) we suspend or stop all, or part of, the Services, including for technical or security reasons;

(k) we have reasonable concerns about your Airwallex Profile, including the use of the Services;

(l) you haven’t paid or repaid any amounts owing to us by the date due;

(m) one of our banking partners, or other service provider necessary to provide the Services, requires us to terminate these terms; or

(n) you do not use your Airwallex Profile for 12 months and it becomes inactive.

16.3. Blocking transactions. We may also block any transaction if your instructions are unclear, incomplete or contain an error.

16.4. We will give you notice of suspension where possible. We will give you notice of any suspension and the reasons for such suspension as soon as we can, either before the suspension is put in place, or immediately after, unless it would compromise our reasonable security measures or otherwise be unlawful. We will lift the suspension as soon as practicable after the reasons for the suspension have ceased to exist.

16.5. Immediate termination. Without affecting any other right or remedy available to it, either party may terminate these terms or any Additional Terms immediately on written notice to the other party and without liability to the other party:

(a) if the other party:

(i) commits a material breach of these terms (or the Additional Terms), and, in the case of a breach capable of remedy, fails to remedy such breach within 30 days after receiving formal written notice to do so; or

(ii) commits a series of breaches of these terms (or the Additional Terms) which when taken together have the impact or effect of, or otherwise amount to a material breach; or

(iii)becomes subject to an Insolvency Event;

(b) if the party reasonably determines that it has become unlawful to perform its obligations under these terms; or

(c) in the event of a Force Majeure Event that has the effect of preventing the other party from performing any of its obligations under these terms for a period exceeding 1 month.

16.6. Repayment upon termination. On termination you will need to immediately repay any money you owe us. In the circumstances set out in clauses 16.2 or 16.5, we may charge you for any costs, expenses and losses we incur (including costs due to foreign exchange difference or any action we may take to cover or reduce the exposure). Once all amounts owing to us have been repaid, any excess amount held by us in respect of the Services will be made available to you.

16.7. Effect of termination. On termination of these terms or any Additional Terms:

(a) you will not be able to use the Airwallex Platform (or the Services under those Additional Terms) and all rights granted to you under these terms or the Additional Terms will cease;

(b) you must immediately return or delete copies of any documentation, notes and other materials comprising or regarding the Airwallex Platform (or the Services under those Additional Terms);

(c) all of your payment obligations under these terms (or under the Additional Terms) for Services provided through to the effective date of termination will immediately become due and payable;

(d) each party will return or delete all Confidential Information of the other party in its possession within 30 days of the termination of these terms or the Additional Terms, and will not make or retain any copies of such Confidential Information except as necessary to comply with Applicable Law; and

(e) any provision that expressly or by implication has effect after termination will continue in full force and effect.

17. THIRD PARTY SERVICE PROVIDERS

17.1. Acknowledgements. You acknowledge and agree that:

(a) we may work with third parties, including other Airwallex Group Companies, to provide the Services;

(b) if you receive information from us regarding, or provided by, such third parties, you will not rely on such information and will not make any claims against us or the third party in relation to such information. You agree that you bear all risk and responsibility if you choose to rely on such information in contravention of this clause.

17.2. Services provided by Airwallex. If we use a third party to provide the Services, you acknowledge that the Services are provided by Airwallex to you and not by the third party, unless any Additional Terms for the use of a Service or feature of a Service specifically provide otherwise in writing.

17.3. Compliance with Data Protection Legislation. If we use a third party to provide the Services, we will ensure that the third party complies with Data Protection Legislation relating to the processing of Personal Data pursuant to these terms.

18. REPRESENTATIONS AND WARRANTIES

18.1 Customer warranties. You represent and warrant to us that you:

(a) will comply with these terms, the Product Documentation and all Applicable Law regarding your use of the Services, the Airwallex Platform and Customer Data;

(b) have the right, power and authority to enter into these terms and to perform all of your obligations under it;

(c) have the valid right to grant to us the rights as defined in these terms without violating any Applicable Law or the proprietary rights of any third party;

(d) will provide us with accurate, up-to-date and complete customer due diligence information and data at all times, pursuant to clause 4 of these terms;

(e) will pay all sums to us free and clear of any claims, encumbrances or any other interest of any third person; and

(f) will use the Services and the Airwallex Platform only for lawful purposes.

18.2. Customer conduct. You are solely responsible for any use of the Services, and other features of the Airwallex Platform, including the content of any data or transmissions you execute through Airwallex Platform yourself, or by any Authorised User you permit to access Airwallex Platform. You will use all reasonable endeavours to ensure that no unauthorised person will or could access your Airwallex Profile or other features of the Airwallex Platform. You will not interfere with, disrupt, or cause any damage to other users of the Airwallex Platform or Services.

18.3. You must not misuse the Airwallex Platform. You cannot:

(a) access the Airwallex Platform using a method other than the Airwallex APIs or Webapp, for example you cannot use automated means (including harvesting bots, robots, spiders, or scrapers) without our permission;

(b) do anything that may disrupt, disable, overburden, or damage the Airwallex Platform, such as a denial of service attack; and

(c) cause viruses or other malicious code to interfere with the use of the Airwallex Platform.

18.4. Disclaimer. Except as expressly stated in these terms, all warranties, conditions and terms, whether express or implied by statute, common law or otherwise (including any implied warranties of satisfactory quality or fitness for a particular purpose or non-infringement) are excluded to the extent permitted by law. In particular, we:

(a) do not make any commitments about the content or data within the Airwallex Platform, the specific functions of the Airwallex Platform or its accuracy, reliability, availability or ability to meet your needs;

(b) do not guarantee that the Airwallex Platform will operate uninterrupted or error-free, that it will always be available, that the information it contains is current or up-to-date, that it will be free from bugs or viruses, or never be faulty; and

(c) may occasionally have to interrupt your use of the Airwallex Platform for operational, security or other reasonable reasons. In such a case, we will restore access as quickly as practicable.

18.5. Financial advice. You must not treat any information or comments by Airwallex as financial advice. You should consider obtaining your own, independent advice with respect to any such information or comments and the use of the Services.

19. ANTI-BRIBERY, ANTI-CORRUPTION AND SANCTIONS

19.1. You will (and will ensure that any person you use for the performance of its obligations under or in connection with these terms, including, Authorised Users, employees, agents, consultants and subcontractors will):

(a) comply with all Applicable Law relating to Sanctions, bribery and corruption including the Hong Kong Prevention of Bribery Ordinance (Cap. 201), UK Bribery Act 2010 and the US Foreign Corrupt Practices Act (‘ABC Legislation’);

(b) not do or omit to do anything likely to cause the other party to be in breach of any such ABC Legislation;

(c) not give or receive any bribes, including in relation to any public official;

(d) maintain a programme designed to ensure compliance with ABC Legislation, including an education and training programme and measures reasonably calculated to prevent and detect violations of ABC Legislation;

(e) if requested, and at the other party’s reasonable cost, provide us with sufficient reasonable assistance to enable us to perform any actions required by any government or agency in any jurisdiction for the purpose of compliance with ABC Legislation or in connection with any investigation relating to ABC Legislation; and

(f) promptly notify us of any allegation of sanctions violation, fraud, bribery or corrupt or unlawful practices made against it in court, arbitration or administrative proceedings, or any investigation commenced in respect of the same.

19.2. You undertake that you are not, and will procure that none of your Authorised Users, directors, officers, agents, employees or persons acting on behalf of the foregoing is, a Restricted Person and do not act directly or indirectly on behalf of a Restricted Person. You must supply to us details of any claim, action, suit, proceedings or investigation against you or such persons with respect to Sanctions by any Sanctions Authority to the extent permitted by law, promptly upon becoming aware.

19.3. You will indemnify us against all liabilities, losses, and expenses which they have suffered as a result of a breach of this clause by the party.

20. MARKET DISRUPTION, ERRORS & FORCE MAJEURE

20.1. Force majeure. Neither party will be responsible for any failure to fulfil any obligation for so long as, and to the extent to which the fulfilment of such obligation is impeded by a Force Majeure Event. The party subject to the Force Majeure Event will:

(a) promptly notify the other party of any circumstances which may result in failure to perform its obligations; and

(b) use reasonable efforts to mitigate the effect of the Force Majeure Event on the performance of its obligations.

20.2. Market Disruption. If, in our reasonable opinion, a Market Disruption occurs after we have provided you with an FX Exchange Rate, in relation to all or certain currency pairs affected by the Market Disruption, until we reasonably determine the period of Market Disruption has ended, we may revise any FX Exchange Rate, or any rate or margin component of any FX Exchange Rate, with immediate effect.

20.3. Error in FX Exchange Rate. If an FX Conversion is executed at an FX Exchange Rate that clearly and materially deviates from the market price, you must not rely on such obvious error. In such cases, we may declare that the FX Conversion is not binding and you will need to return to us any amounts made under the FX Conversion and we will reprocess such FX Conversion at the correct rate.

20.4. Fee Payout. This clause does not limit or otherwise affect your obligation to pay any fees or other charges or amounts due under these terms.

21. ACTING AS A CONSUMER

21.1. This clause 21 applies to you if you are a natural person. You represent to us that you operate a business and will only use the Services for business purposes unless you have told us otherwise before entering into this agreement. You must not use the Services for consumer purposes (or in your capacity as a consumer) unless we approve you to do so in which case you must only use the Services for consumer purposes.

21.2. If you are using our Services in your capacity as a consumer, i.e. you are not entering into this agreement in the course of business (and do not hold yourself as doing so):

(a) you must comply with our Acceptable Use Policy,

(b) clause 22.8 of these terms do not apply to you, and

(c) we draw your attention to clauses 14.4 (the limit on our aggregate liability to you) and to clause 15 (your indemnity obligations to us).

21.3. If you need to change the purpose in which you use the Services, please make a request to us in writing. We may require additional details from you if you change the purpose in which you use our Services (for example, we may require you to provide evidence of your business tax number).

22. GENERAL

22.1. Entire agreement. These terms represent the entire agreement between the Parties with respect to the subject matter of these terms and supersedes and extinguishes all previous agreements, representations, promises, and statements between us, whether written or oral, relating to its subject matter. Each party acknowledges that in entering into these terms it does not rely on, and will have no remedy in respect of, any representation or warranty (whether made innocently or negligently) that is not set out in these terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these terms.

22.2. Complaints. Please let us know if we have made a mistake or you feel that we have not met your expectations in the delivery of our Services. We have internal procedures for handling complaints fairly and promptly in accordance with our regulatory requirements. A copy of our complaints procedure is available upon request.

22.3.Notices. All notices, demands and other communications provided for or permitted under these terms will be made in writing to the Parties at their registered addresses and will be sent by:

(a) registered or certified first-class mail;

(b) courier or overnight service or personal delivery;

(c) email;

and will be deemed received upon delivery. You agree and consent to receive notices and other communications from us by way of email and other electronic methods such through the Airwallex Platform.

22.4. Relationship. Except as expressly provided for in these terms or in any Additional Terms, nothing in these terms will be construed as creating a partnership or joint venture between the Parties, constitute any party being the agent of the other party, or authorise any party to make or enter into any commitments for or on behalf of the other party. Each party confirms it is acting on its own behalf and not for the benefit of any other person.

22.5. Assignment. You will not assign these terms, in whole or in part, without our prior written consent. Any attempt to do so will be void and constitute a material breach of these terms. We may assign these terms, in whole or in part, or subcontract our obligations under it, without your consent.

22.6. Waiver. No failure or delay by a party to exercise any right or remedy provided under these terms or by law, or a single or partial exercise of such right or remedy, will constitute a waiver of that or any other right or remedy, nor will it preclude or restrict the further exercise of that or any other right or remedy.

22.7. Severability. If any provision of these terms is determined to be invalid, unenforceable or illegal by any court of competent jurisdiction, it will be deemed to have been deleted without affecting the remaining provisions. If such provision would be valid, enforceable and legal if some part of it were modified or deleted, the provision will apply with the minimum modification necessary to make it legal, valid and enforceable.

22.8. Non-solicitation. During the term of these terms and for a period of one (1) year after termination, you will not solicit the services of any staff of Airwallex with whom you have had any material dealing within the preceding eighteen (18) months. However, for the avoidance of doubt, this shall not apply: (i) where prior written consent has been sought by you from us; or (ii) in relation to any public recruitment campaign by you or on your behalf which is not specifically targeted at any staff of Airwallex. This clause 22.8 shall survive termination of these terms.

22.9. Third party rights. These terms is made specifically between and for the benefit of the Parties, and the provisions of the Contracts (Rights of Third Parties) Ordinance (Cap 623) do not apply to these terms. No person who is not a party to these terms (whether or not such person is named, referred to, or otherwise identified, or form part of a class of persons so named, referred to or identified in these terms) shall have any right under any Applicable Law, including the Contracts (Rights of Third Parties) Ordinance or otherwise to enforce these terms or to enjoy the benefit of any term of these terms. Neither party may declare itself a trustee of the rights under it for the benefit of any third party.

22.10. Set-off. We may, at any time, set off any payment liability you have to us against any payment liability that we have to you, whether either liability is present or future, liquidated or unliquidated, and whether or not either liability arises under these terms. If the liabilities to be set off are expressed in different currencies, we may convert either liability at a market rate of exchange for the purpose of set-off. Our right to set off includes, but is not limited to, setting off the amount of any payment you have requested against any amount collected by us for you as part of the Collection Services.

22.11. Order of payments. We may determine the order of transactions we process with respect to your account, subject to any requirements at law. For example, if you have given us one or more Payout instructions without having paid sufficient funds into the Global Account (Payout and FX), we may use any funds we subsequently collect or receive for the purposes of one or more of those Payout instructions at our discretion, unless we accept instructions from you otherwise.

22.12. Records. You agree that, except in the case of manifest error, our records of your use of the Services and of transactions carried out through the Airwallex Platform is conclusive evidence of its contents.

22.13. Other languages. These terms are made in the English language. It may be translated to other languages for convenience only and in the event of any inconsistency the English language version will prevail.

22.14. Governing law. These terms will be governed by and constructed in accordance with the laws of Hong Kong. The Hong Kong courts have exclusive jurisdiction to settle any dispute (including non-contractual disputes or claims arising out of, relating to or having any connection with these terms (for the purpose of this clause, a ‘Dispute’) and each party submits to the exclusive jurisdiction of the Hong Kong courts. For the purposes of this clause 22.14, each party waives any objection to the Hong Kong courts on the grounds that they are an inconvenient or inappropriate forum to settle any Dispute.

23. DEFINITIONS & INTERPRETATION

23.1. In these terms, the following definitions apply:

Actions means any action, claim, demand or proceeding, in respect of any loss, damage, costs, fines, expenses and other liabilities of whatever nature (whether foreseeable or contingent and whether relating to a third-party claim), including in relation to any breach of contract, negligence, fraud, wilful misconduct, breach of statutory duty or other head of claim and however suffered, incurred or sustained.

Additional Terms means any additional terms of use applicable to the use of our Services found on our website www.airwallex.com, including any specific terms applicable to the use of our Services in a particular region.

Advance Payment Deposit means an amount of collateral required to be paid by the Customer to Airwallex in connection with certain Post-Fund Spot Transactions.

Airwallex API means the technical interface setting out the protocols and specifications required to effect an integration of the Customer’s technical systems with the Airwallex Platform for Authorised Users to use the Services.

Airwallex API Documentation means the documentation and guidelines applicable to the Airwallex APIs found on our website www.airwallex.com

Airwallex Marks means all trade marks, logos, trade names, domain names and any other logos or materials of Airwallex or its licensors.

Airwallex Materials has the meaning given to this term in clause 11.1.

Airwallex Data means details of transactions using Airwallex infrastructure, information used in fraud detection and analysis, aggregated or anonymised information generated in connection with the Services, and any other information created by or originating from Airwallex or the Services.

Airwallex Group Companies means Airwallex and its affiliates. 

Airwallex Platform means the proprietary technology and associated products (including but not limited to those found on the Webapp and through an Airwallex API) devised by Airwallex to provide customers with Services including access to the Global Account (Collection).

Airwallex Profile means the electronic information profile that records your personal or business details (as applicable) and that is used to log into and use the Airwallex Platform.

Airwallex Technology means any proprietary technology and associated products (including the Airwallex Platform) devised by Airwallex to provide any product and/or services to you.

Applicable Law means all laws, legislation, regulations, binding codes of practice, or rules or requirements of any relevant Regulatory Body applicable to the activities undertaken or procured by either party under these terms, including those relating to: (i) money services business; (ii) Payout Services; (iii) anti-money laundering, know your customer, counter terrorist financing and sanctions requirements; (iv) data protection; (v) consumer protection, and (vi) any code of practice or guidance issued by any Regulatory Body with which reputable financial institutions in Hong Kong are required or accustomed to comply.

Authorised User means any person (for example, any of your directors, officers, employees or professional advisors) appointed by you for the purposes set out in clause 7.1.

Business Day means any day when banks are generally open for business in Hong Kong (other than a Saturday, Sunday or public holiday in Hong Kong, or any day on which a typhoon signal number 8 or above, or a black rainstorm warning is hoisted in Hong Kong).

Cancellation Confirmation means Airwallex’s confirmation of the Customer’s instructions to Airwallex to cancel a FX Conversion in accordance with Clause 6.14;

Cancellation Delta has the meaning given in Clause 6.14;

Cancellation Request means the Customer’s request to cancel a FX Conversion made in accordance with Clause 6.14;

Collection Services means the collection agent services provided by Airwallex to you under these terms relating to the collection of funds by Airwallex in a Supported Currency.

Confidential Information means and includes all confidential information, whether verbal or written: (i) concerning the business and affairs of a party, that a party obtains or receives from the other party; or (ii) which arises out of the performance of any obligations under these terms. Confidential Information does not include information which is: (a) known by the receiving party without restriction in relation to disclosure prior to receipt from the disclosing party; (b) received from a third party who lawfully acquired it and who was under no obligation restricting its disclosure; (c) approved in writing for release from these terms by the disclosing party; (d) available in the public domain other than by breach of these terms; or (e) independently developed without access to any Confidential Information disclosed by the disclosing party.

Confirmation means Airwallex’s response and confirmation to your instructions to us for a FX Conversion, a Payout, or both.

Conversion Date means the date that bought funds in an FX Conversion is available to the Customer in cleared funds. Conversion Date for any currency pair the Parties elect to transact in must be a Business Day in both countries (i.e. the countries where the Parties are located to transact business).

Customer Data means information that describes you and your business (as applicable) and its operations, your products or services, and orders placed by your customers.

Customer Margin means the amount specified as such in the Airwallex Platform that applies to you, or any other percentage or amount that we may notify you in writing from time to time.

Data means all Customer Data, Personal Data, Payment Data and Airwallex Data.

Data Subject means any natural person who can be identified, directly or indirectly, via an identifier such as a name, an identification number, location data, or via factors specific to the person's physical, physiological, genetic, mental, economic, cultural or social identity.

Data Protection Legislation means applicable privacy and data protection laws and any applicable national implementing laws, regulations and secondary legislation in Hong Kong relating to the processing of Personal Data and the privacy of electronic communications, as amended, replaced or updated from time to time.       

Direct Debit Authorization means any mandate, approval, or other agreement required by a Direct Debit Scheme to authorize a party to debit a bank account held by you, and/or any additional arrangement or agreement Airwallex requires in relation to your use of the Direct Debit Product, including, but not limited to the Direct Debit Authorization Agreement US, the Direct Debit Request Service Agreement Australia or the Direct Debit Authorization Agreement Hong Kong.

Direct Debit Request Service Agreement Australia means the agreement available online at https://www.airwallex.com/au/terms/direct-debit-request-service-agreement.

Direct Debit Request Service Agreement Hong Kong means the agreement available online at https://www.airwallex.com/hk/terms/direct-debit-request-service-agreement.

Direct Debit Authorization Agreement US means the agreement available online at https://www.airwallex.com/us/terms/direct-debit-authorization-agreement

Direct Debit Product Documentation means the guidelines in relation to the use of the Direct Debit Product set out on https://www.airwallex.com/docs/global-treasury__add-funds-via-direct-debits-from-linked-accounts__review-direct-debit-mandate-requirements an as amended from time to time, or any other requirements Airwallex notifies you of from time to time.

Direct Debit Product means enabling you, and/or a Connected Account, to use direct debit to (i) collect or transfer funds to and from a Linked Account (a) into a Global Account (b) owed to Airwallex under the Agreement or other agreements between you and Airwallex, to Airwallex (ii) pay out funds from its Airwallex account into a Linked Account, (iii) use direct debit as a means to receive payment from third parties;

Direct Debit Scheme means SEPA, BACS, ACH, and any other local direct debit scheme Airwallex enables you to use from time to time;                            

Direct Losses means, in respect of any breach, those losses that the breaching party knew, or a reasonable person in the breaching party’s position ought reasonably to have known, either: (i) at the time of entering into these terms; or (ii) at the time of the breach, were reasonably probable to result from the breach. For the avoidance of doubt, the following will not be Direct Losses, loss of: goodwill; business; profit; operation time; reputation; opportunity; or corruption of data or information; or loss of anticipated savings, even if the breaching party was aware or ought reasonably to have been aware of the possibility that such loss or damage could occur.

Extended Settlement Transaction means a FX Conversion which settles more than two days after being booked and is for or in connection with a contract or arrangement (existing or proposed) wholly referable to the provision of property (other than currency) or services or employment at fair or market value.

Force Majeure Event means an event beyond a party's reasonable control including: Black Swan events; strikes, lock- outs, labour troubles (but excluding strikes or other forms of industrial action by the employees, agents or subcontractors of that party); interruption or failure of a utility service including the internet, electric power, gas or water; riots, war, pandemic, or terrorist attack; nuclear, chemical or biological contamination; extreme abnormal weather conditions; the imposition of a sanction, embargo or breaking off of diplomatic relations; or any change in Applicable Law.

FX Base Rate means the currency exchange base rate we have specified for a FX Conversion and Conversion Date having regard to the costs provided by our foreign exchange rate service providers, the interbank exchange rates and relevant market conditions.

FX Conversion means an agreement between the Parties in which one currency is sold or bought against another currency at an agreed exchange rate through the Airwallex Platform.

FX Conversion Services means the services provided by Airwallex under these terms relating to FX Conversion.

FX Delta means any delta between the FX Exchange Rate for the original transaction and the FX Exchange Rate applicable to a reversed transaction refunded to the Customer. 

FX Exchange Rate means the FX Base Rate plus any other margin that may be applicable to you, including the Customer Margin.

FX Forward Transaction means a FX Conversion which settles more than two days after being booked and is for or in connection with a contract or arrangement (existing or proposed) wholly referable to the provision of property (other than currency) or services or employment at fair or market value.

FX Limit Order has the meaning given to it at Clause 6.17.

Global Account (Collection) means a unique account ledger registered under your name and created by yourself, which records the amount of funds collected from your payers by Airwallex for you as part of the Collection Services. 

Global Account (Payout and FX) means a bank account in your name (1) created by Airwallex for you or (2) created by yourself but designated as such in accordance with Airwallex’s requirements, into which you can send funds to pay for any FX Conversion or Payout transactions.

Group Company means any entity in respect of which Airwallex or Airwallex’s ultimate holding company: (i) owns (directly or indirectly) more than fifty (50) percent of the voting rights or issued share capital; or (ii) can ensure that the activities and business of that entity are conducted in accordance with its wishes.

Hong Kong means the Special Administration Region of Hong Kong, People’s Republic of China.

Indirect or Consequential Losses means those losses that are not Direct Losses.

Insolvency Event means: (i) any procedure commenced with a view to the winding-up or re- organisation of such party; (ii) any step taken or any procedure is commenced with a view to the appointment of an administrator, receiver, administrative receiver or trustee in bankruptcy in relation to such party or all or substantially all of its assets; (iii) the holder of any security over all or substantially all of the assets of such party takes any step to enforce that security;

(iv) all or substantially all of the assets of such party is subject to attachment, sequestration, execution or any similar process; (v) such party is unable to pay its debts as they fall due; (vi) such party enters into, or any step is taken, whether by the board of directors of such party or otherwise, towards entering into a composition or arrangement with its creditors or any class of them, including a company voluntary arrangement or a deed of arrangement; or (vii) such party enters into, or any step is taken, whether by the board of directors of such party or otherwise, towards any analogous procedure under the laws of any jurisdiction to the procedures set out in (i) to (vi) above, and in each case other than for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party.

Intellectual Property Rights means: (i) rights in, and in relation to, any patents, registered designs, design rights, trademarks, trade and business names (including goodwill associated with any trade marks or trade and business names), copyright and related rights, moral rights, databases, domain names, semi-conductor and other topography rights and utility models, and including registrations and applications for, and renewals or extensions of, such rights, and similar or equivalent rights or forms of protection in any part of the world; (ii) rights in the nature of unfair competition rights and to sue for passing off and for past infringement; and (iii) trade secrets, confidentiality and other proprietary rights, including rights to know how and other technical information.

Linked Account means an account at a third party financial institution acceptable to us that we enable you to link to your Airwallex Profile in connection with the Services we provide to you. 

Market Disruption means any action, event or circumstance which, as determined by Airwallex in its sole and absolute discretion: (i) has the direct or indirect effect of hindering, limiting or restricting the ability of Airwallex or its Group Companies to obtain a firm quote of an offer price, convert any currency into any other currency, or to transfer any sum to any other country or within the same country; (ii) results in any purchase currency not being available in the interbank foreign exchange market in accordance with normal commercial practice; or (iii) constitutes unusual price volatility in the foreign exchange markets.

Multicurrency Global Accounts has the meaning given in Clause 5.2;

Network Rules means the guidelines, bylaws, rules, agreements and regulations imposed by the financial services providers that operate payment networks supported by Airwallex from time to time (including the payment card scheme operating rules for Visa, MasterCard, or the American Express).

Payment Data means payment account details, information communicated to or by financial services providers, financial information specifically regulated by Applicable Laws and Network Rules, and any other transactional information generated as part of the use of our Services.

Payments Terms means the terms and conditions entitled 'Payments Terms' relating to the payment processing services, fraud control services, currency conversion and/or other associated additional services that Airwallex may provide to you and found on our website www.airwallex.com.

Payout means each and every individual payment to be made for you by Airwallex to a third party payee through the Airwallex Platform as part of the Payout Services.

Payout Date means the date nominated by you in your instructions to us through the Airwallex Platform, for the Payout to be transferred from Airwallex to the payee.

Payout Services means, in connection with any Payouts to be made in a Supported Currency to a payee by Airwallex in accordance with the Payout instructions provided by you, the payment agent services provided to you by Airwallex under these terms.

Personal Data means information that identifies a specific living person (not a company, legal entity, or machine) that is collected, transmitted to or accessible through the Services and as otherwise defined in the Data Protection Legislation.

Post-Fund Capability means the capability requested by you and granted by us to book a FX Transaction without having the funds required at Settlement Cut-off in your Global Account (Payout and FX).

Post-Fund Spot FX Transaction has the meaning given to it at Clause 6.6.

Pre-Fund Spot FX Transaction has the meaning given to it at Clause 6.5.

Pre-Payment Amount has the meaning given to it at Clause 6.13.

Product Documentation means any documentation, tools, tutorials and/or guidelines applicable to the Airwallex products and services that are made available on our website www.airwallex.com

Quote means a quote generated via the Airwallex API that specifies a FX Exchange Rate for a selected currency pair that can be used to book a FX Conversion during a specified Validity Period.

Rate means an indicative FX Exchange Rate for a selected currency pair when requested through the Airwallex API. 

Regulatory Body means any person or regulatory body concerned with the creation, enforcement or supervision of, or compliance with Applicable Law, including the Customs & Excise Department of Hong Kong and any regulatory body which replaces it.

Restricted Person means a person that is (i) listed on, or owned or controlled by a person listed on any Sanctions List; (ii) located in, incorporated under the laws of, or owned or controlled by, or acting on behalf of, a person located in or organised under the laws of a country or territory that is the target of country-wide Sanctions; or (iii) otherwise a target of Sanctions.

Reverse Conversion means an offsetting trade required to reverse the fixed side of the original FX Conversion performed by Airwallex at the prevailing FX Exchange Rate in order to execute the Customer’s Cancellation Request;

Sanctions means any economic sanctions laws, regulations, embargoes or restrictive measures administered, enacted or enforced by: (i) Hong Kong; (ii) the United States; (iii) the United Nations; (iv) the European Union; (v) the United Kingdom; (vi) any other jurisdiction in which Airwallex operates; or (vii) the respective governmental institutions and agencies of any of the foregoing, including without limitation, the Office of Foreign Assets Control of the US Department of Treasury (‘OFAC’), the United States Department of State, and Her Majesty’s Treasury (together ‘Sanctions Authorities’).

Sanctions List means the Specially Designated Nationals and Blocked Persons list issued by OFAC, the Consolidated List of Financial Sanctions Targets issued by Her Majesty’s Treasury, or any similar list issued or maintained or made public by any of the Sanctions Authorities.

Scheduled Transfer means a Payout that the customer can schedule to be made up to 180 days in advance, and may involve a FX Forward Transaction where the Payout currency is different to the source currency selected by the customer.

Services means the services offered by Airwallex to the Customer under these terms, including Collection Services, FX Conversion Services and Payout Services provided through the Airwallex Platform.

Service Fees means all fees applicable to the use of each of the Services.

Settlement means, in the context of FX Conversions, the time when the buy amount is credited to your Global Account (Payout and FX), and in the context of Payouts, the time when the Payout amount is debited from your Global Account (Payout and FX).

Settlement Cut-Off means the time and date where payment of any monies in cleared funds under these terms is due to Airwallex. Generally, it is one Business Day prior to the relevant Payout Date with respect to a Payout.

Settlement Date means, in the context of FX Forward Transactions, the date on which the Buy Currency is deliverable by us in accordance with these Terms, as specified in the Confirmation.

Supported Currency means, in respect of each feature of a Service, each currency approved by Airwallex from time to time that can be collected, exchanged and/or paid out using that feature through the Airwallex Platform.

Target Rate has the meaning given to it at Clause 6.17.

User Profile means, with respect to each Authorised User, the electronic information profile that records the Authorised User’s details and that is used by them to log into and use the Airwallex Platform on your behalf.

Validity Period means the period of time in which the FX Exchange Rate specified in an Executable Quote can be used to book a Spot FX Conversion or Extended Settlement Transaction via the Airwallex API. The available Validity Periods are 1 minute, 15 minutes, 30 minutes, 1 hour, 4 hours, 8 hours and 24 hours, and the selected Validity Period will be specified in the Executable Quote.

Webapp means the user interface that the Customer and its Authorised Users may use to access the Airwallex Platform and the Services.

23.2. Unless the context otherwise requires:

(a) use of the singular includes the plural and vice versa;

(b) a reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time;

(c) any phrase introduced by the terms ‘including’, ‘include’, ‘in particular’, ‘for example’ or any similar expression will be construed as illustrative and will not limit the sense of the words preceding those terms.

23.3. References to the Parties will include any successors, permitted assignees or transferees where permitted by these terms. The word ‘person’ will be deemed to include a body corporate, partnership or unincorporated association. References to any party indemnifying any person against any costs, claims or liabilities include indemnifying against any and all liabilities, losses and expenses, as well as (to the fullest extent, but only if permitted by Applicable Law) any civil or criminal fines imposed by any relevant Regulatory Body and any reasonably incurred legal fees, costs and expenses.

3. 身份检查和信息要求

3.5. 代表自己。您确认您是代表自己行事,而不是代表任何其他个人或法律实体。如果您是以信托人的身份签订本条款,您必须向我们披露这一情况。我们将认为对Airwallex 个人资料和相关账户的任何使用,包括向该等账户的任何转账和从该等账户的任何转出,均由您执行。

3.6. 信息验证和测试。在我们接受您成为客户之前,我们可能会创建一个全球账户并向您提供对Airwallex 平台(无论是通过Airwallex API还是Webapp)的访问权限,用于测试目的。此外,我们可能会要求您向全球账户汇入一小笔款项,用于测试或验证目的。为免疑义,除非且直至我们确认已接受您作为我们的客户,否则您不被视为我们的客户,且您将无法使用我们的任何服务,您为测试或验证目的而提供给我们的任何金额将在我们不接受您作为客户的情况下全额退还给您。

4. 关于我们的服务

4.1. Airwallex 个人资料和平台。一旦您成功注册,我们将为您创建一个 Airwallex 个人资料。只有在我们对您提供的信息及后续合理要求的信息感到满意,并能够核实这些信息后,我们才会创建您的 Airwallex 个人资料并允许您使用我们的服务。除非我们书面同意,否则您只能拥有一个 Airwallex 个人资料。如果我们发现您拥有多个 Airwallex 个人资料,我们可酌情合并或关闭任何重复的个人资料,或终止向您提供服务,如果我们合理地认为您是为了绕过服务中的任何限制而开设它们。您可以使用您的 Airwallex 个人资料登录并访问 Airwallex 平台。Airwallex 平台为您提供了一个易于使用的用户界面,可访问和使用我们的各种服务。

4.2. 设置 Airwallex API。您可以通过 Airwallex API 以及网页应用程序访问 Airwallex 平台。但是,为了通过 Airwallex API 使用我们的服务,您必须首先获得我们的批准。如果获得我们的批准,您需要遵守Airwallex API 文档和任何关于Airwallex API 集成和使用的合理指示。

4.4. 收款服务。就收款服务而言,我们将为您提供以支持货币计价的本地银行账户凭证,您可以将其提供给您的付款人以向您汇款。收到的资金将记录在我们按照第7条为您设立的全球账户(收款)中,每种支持货币一个。您随时可以通过向Airwallex发出相关的提款指令,将资金提取到您自己的同名账户。收到的资金不得在全球账户(收款)中停留超过第5.5条允许的最长期限。您能够自行关闭任何全球账户(收款)。

4.5. 付款服务和外汇兑换。就付款服务和/或外汇兑换服务而言,Airwallex将设立(或在满足适用要求的有限情况下,Airwallex可允许您指定)一个全球账户(付款和外汇),您可以向该账户汇款以支付您的付款和/或外汇兑换指令。Airwallex将根据您在向全球账户(付款和外汇)汇款时给出的具体指令,将这些资金以支持货币汇付给您指定的收款人,和/或按照第6条和第7条将这些资金从源货币兑换为买入货币。您无法自行关闭任何全球账户(付款和外汇)。

4.6. 交易记录。您的交易记录将记录在Airwallex个人资料中,该个人资料将显示作为收款服务一部分通过全球账户(收款)收集的资金,以及作为付款服务和外汇兑换的一部分汇入全球账户(付款和外汇)的资金。

4.7. 存款保护计划。香港存款保障计划("DPS")不适用于与服务相关的汇款、兑换或收款。您确认并同意,我们不是银行,也不向您提供银行账户,因此我们的服务不在DPS的保障范围内。您进一步同意,全球账户是"虚拟账户",而不是银行账户,所有转给我们的资金都是我们的实益所有,不会以信托形式为您持有,您也不会获得任何资金的利息或有权获得任何利息。

4.8. 保护您的资金安全。为了保护您的资金安全,Airwallex已实施商业上合理的行政和技术措施,以保护就服务向您收取或从您收到的资金。

4.9. 限制。我们可能会根据某些监管要求、您的居住国、身份验证检查或业务要求,对服务的全部或任何部分的使用施加临时或永久性限制,所有这些都列在可接受使用政策或任何其他条款中。这些将在限制生效时或者,如果由于紧急或不可预见的情况而不实际,在限制生效后立即通知您。

4.10. 您与我们的关系。我们根据本条款作为您的服务提供商。除非本文另有明确规定,否则Airwallex不会作为您或您的付款人/收款人的受托人、担保代理人或利益相关方。如果您经营业务,Airwallex不承担任何对您的产品、服务或业务的任何其他部分的责任。

5. 收款服务

5.1. 创建全球账户(收款)。一旦我们创建了您的Airwallex账户, 您可以通过登录Airwallex平台并提供必要的信息,包括我们可能不时要求的任何其他信息,来申请开设全球账户(收款)。您还需要同意任何附加条款。如果相关,我们会在您请求开设全球账户(收款)时告知您此要求。

5.2. 全球账户(收款)是Airwallex创建的虚拟账户,以便您以支持的货币从付款人那里收款("收款资金")。通常,您必须申请开设单独的全球账户来收取每种支持的货币。某些全球账户可以收取多种支持货币("多币种全球账户"),如Airwallex平台网页中的账户功能部分所示。全球账户不是以客户名义开设的单独银行账户。Airwallex将在其名下的一个或多个基础银行账户中收集和持有收款资金,以提供收款服务("基础账户")。任何基础银行账户中的资金将与Airwallex提供的其他服务的用户资金混合和pooled在一起。

5.3. 记录收款资金的收讫。收款资金将记录在您的全球账户(收款)中,以每种支持的货币计。在Airwallex收到资金进入其基础账户之前,Airwallex不对任何转账资金负责,也不会将其记录为全球账户(收款)中的可用资金。从您的付款人向Airwallex的基础账户转账资金是第三方服务。Airwallex无法控制此类资金转账和结算进入其基础账户所需的时间。

5.4. 您提取收款资金的权利。您有权按照这些条款收到作为收款服务一部分为您收取的资金。

5.5. 您必须及时指示我们就全球账户(收款)中收到的资金进行提款。如果您在我们确定的合理期限内(且在任何情况下不超过90天)都未给我们提款指示,我们将自行决定(且我们会优先考虑(b)、(c)项):(a)将资金退还给付款人;(b)将资金汇入您通知我们的关联账户;或(c)以其他适用法律允许的方式将资金汇给您。

5.6. 资金来源。除非我们另有书面约定,您必须确保我们收到的所有与服务相关的资金来自合法来源(例如商品或服务销售收入),并符合我们的可接受使用政策。如果我们要求您提供,您同意及时提供资金来源的证据。

5.7. 禁止向全球账户(收款)存入自有资金。全球账户(收款)仅用于向您提供收款服务。您不得将您自己的资金转入全球账户(收款)。

5.8. 作为有限代理人行事。对于美国的收款服务,您特此指定Airwallex作为您的有限代理人,而Airwallex同意担任此角色,目的是代表您收取来自您的付款人的此类付款。您同意,一旦Airwallex从付款人那里收到付款:(a)您应被视为已从该付款人那里收到付款,(b)该付款人对您的相关付款义务将得到完全履行,(c)您对该付款的任何索赔将被灭绝,以及(d)您有义务向付款人交付相应的商品和/或服务(如尚未交付),无论Airwallex何时汇付该笔款项给您。Airwallex将按照这些条款向您付款,或者抵销您可能对Airwallex承担的任何义务。您应告知您的付款人,Airwallex是代表您收取付款的代理人。提供给付款人的任何收据将对您具有约束力,并满足所有适用的监管要求。本第8.7条阐述了Airwallex作为您的付款代理人的全部职责,不应推定Airwallex在此角色下承担任何其他职责。

6. 外汇兑换服务

6.1. 您的外汇兑换指示。您可以通过在Airwallex平台中提供所需的详细信息,指示我们进行外汇兑换。

6.2. 外汇兑换确认。当我们确认您的指示是完整的,我们将向您出具相关外汇兑换的确认书。如果您在结算截止时没有足够的资金,您超过任何适用的限额,您要求的外汇兑换被视为一项杠杆外汇交易或投机目的,或根据第16条,我们可能会拒绝您的指示。一旦确认书发出,它就是最终的且不可撤销的(根据下文第6.14条的规定除外)。您必须按照本条款的条款,以相关来源货币向我们全额结算外汇兑换。

6.3. 外汇汇率。您可以通过Airwallex平台获取外汇兑换的指示汇率("指示汇率")。指示汇率将在您通过Airwallex平台向我们发出指示时报价给您,最终的外汇汇率将在我们出具确认书时确认。我们将尽合理努力确保确认的外汇汇率反映了报价给您的汇率,但您确认这并非总是可能的。用于执行外汇兑换的最终外汇汇率可能会有所不同,因为汇率可能在您的指示和我们出具确认书之间发生变化。您同意汇率变化会立即生效,恕不另行通知。

6.4. 通过API获取汇率或报价:

(a) 指示汇率将根据上述第6.3条提供;

(b) 可以获得一个或多个有效期的担保报价。

i. 要使用担保报价进行即期外汇交易或延期结算交易,您必须在通过Airwallex API指示Airwallex进行外汇兑换或付款(根据第6条和第7条)时,提交相关担保报价中指定的报价ID。

ii. 您不得出于投机或套利目的而请求或使用担保报价。担保报价只能用于真实的商业目的。如果我们怀疑或合理地认为您正在违反本6.4(b)(ii)条的规定请求和/或使用担保报价,我们可以自行决定撤销您使用该功能的权限或限制您请求和使用担保报价的能力。

iii. 为了管理Airwallex的风险和敞口,我们可能会自行决定对您请求和使用担保报价的能力施加限制。

6.5. 预付即期外汇交易。对于预付即期外汇交易,您同时:(i)下单并同意进行预付即期外汇交易;(ii)同意由Airwallex扣除您的全球账户(付款和外汇)中的资金;以及(iii)同意由Airwallex将资金存入或支付到您的全球账户(付款和外汇)。因此,预付即期外汇交易的结算通常会在同意进行交易时同时发生(或在某些情况下的两天内)。

6.6. 后付即期外汇交易。对于后付即期外汇交易,您:(i)在某个日期("下单日期")下单并同意进行后付即期外汇交易;(ii)同意在结算截止时间之前由Airwallex扣除您的全球账户(付款和外汇)中的资金;以及(iii)同意在相关扣款完成的同时或之后,由Airwallex将资金存入或支付到您的全球账户(付款和外汇)。因此,后付即期外汇交易的结算截止时间通常为:(i)下单日期;或(ii)下单日期后最多两天。 

6.7. 延期结算交易。如果您获准进行延期结算交易,可以通过在Airwallex平台上向我们发送指令来请求进行延期结算交易。如果我们同意您的请求,我们将向您提供确认函,其中列明了延期结算交易的详细信息,包括结算截止日和结算日期。您同意,您有责任检查确认函,以确保其与您的指令一致,并确保在指定的结算截止日前,全球账户(支付和外汇)中有足够的资金。

6.8. 您只能为与完全与提供财产(不包括货币)、服务或就业相关的现有或拟定合同或安排而进行延期结算交易。如果我们合理地相信您打算进行或已经进行其他目的的延期结算交易,我们:

(a) 可拒绝接受您关于延期结算交易的指令;或者

(b) 如果我们已经接受了您的指令,我们可以取消延期结算交易,并从预付款中扣除所有相关费用。

6.9. 延期结算交易应通过我们在结算日以实物交割外币的方式结算,以支付您欠我们的任何未支付款项。您可以要求将买入货币交付给第三方受益人,具体按照本条款执行。

6.10. 未平仓头寸限额。如果您要求并获得后付款能力,您将能够预订后付现货外汇交易和/或延期结算交易,最高金额为"未平仓头寸限额",该金额将由我们指定。您可能需要提供预付款,才能进行后付现货外汇交易或延期结算交易。如果您未能按照第6.9条的规定为您的后付现货外汇交易或延期结算交易提供资金,我们可以自行决定暂停或取消未平仓头寸限额,和/或采取措施,以当前的外汇汇率了结逾期的后付现货外汇交易或延期结算交易,并将所有相关损失和费用转嫁给您,包括从预付款中扣除。

6.11. 外汇兑换的结算要求。您必须在结算截止日当天或之前,将足够的资金划入全球账户(支付和外汇)的相关原币种,以覆盖您希望进行的任何外汇兑换的全部金额。您可以通过银行转账或其他我们接受的方式向我们提供外汇兑换所需资金。在不影响我们在本条款下任何其他权利的情况下,您特别承认,如果您未能向全球账户(支付和外汇)划入足额资金,我们可以从为您收集和持有的资金中扣除或抵销该金额。

6.12. 外汇兑换的执行时间。如果您要求我们进行外汇兑换,我们将尽快执行,在任何情况下,通常会在我们接受您的指令后24小时内完成。

6.13.外汇兑换的保证金。您应按我们的要求,支付外汇兑换的保证金,金额由我们不时确定。为避免疑问,我们有权在该外汇兑换最终结算之前的任何时候,要求您支付额外金额以增加保证金数额。您应在我们提出要求后2个工作日内,将所需金额交付至我们指定的账户。如果您未能支付我们要求的任何保证金,我们可以从为客户收集或持有的资金中扣除或抵销该金额,和/或我们可以在不事先通知您的情况下取消该外汇兑换交易,并将保证金用于支付任何到期应付我们的款项。

6.14. 取消外汇交易。在发出外汇交易确认函但尚未结算外汇交易之前,客户可通过Airwallex API或联系Airwallex账户经理提出取消请求,并由Airwallex出具取消确认函。确认函中报价与为执行取消请求的逆向兑换所适用的汇率之间的差额("取消差额")将从客户的全球账户中扣除或计入。客户在Airwallex出具取消确认函后,不得撤回、修改或取消取消请求。如果取消请求是在结算截止日之后提出的,Airwallex可能会收取逾期取消费用。

7. 支付服务

7.1. 您的支付指令。您可以通过在Airwallex平台中提供必要的详细信息来指示我们进行支付。如果支付涉及受支持货币之间的货币兑换(例如,源货币与支付货币不同),我们还将向您提供我们的外汇兑换服务作为支付服务的配套服务。每笔支付,包括任何涉及外汇兑换的支付,都是您和Airwallex之间的单独合同。

7.2. 支付确认。当我们确信您的指令完整时,我们将向您出具有关该支付的确认书。如果您在结算截止时间前没有足够的资金,您超出任何适用限额,或根据第19条的规定,我们可以拒绝您的指令。一旦发出确认书,它就是最终的和有约束力的,您只能根据下文第7.5条取消支付。您必须按照下文第7.3条的规定结算支付的全额。

7.3. 支付服务的结算要求。您必须在结算截止时间或之前,将足够的资金(以相关来源货币)汇入全球账户(支付和外汇)以支付您想要进行的任何支付的全额。您可以通过直接银行转账给我们或其他我们可接受的方式向我们付款。在不影响我们在本条款项下的任何权利的情况下,您特别认可,如果您的全球账户(支付和外汇)中没有足够的资金来覆盖全额,我们可以从您在全球账户(收款)中收集和持有的任何资金中扣除或抵消该金额。如果您将资金汇入全球账户(支付和外汇)的货币不是支付货币,或者您在全球账户(收款)中持有的资金(我们用于抵消目的)不是支付货币,您授权我们在支付日按我们的标准汇率(应要求提供)将该货币兑换为支付货币。

7.4. 支付的执行时间。如果您要求我们进行支付,我们将在合理可行的情况下尽快进行支付,无论如何,一般情况下将在我们接受您的指令后24小时内完成。付款方式可能由第三方提供(例如,收款人的银行账户所在银行),不属于我们的服务范围。我们无法控制收款人的银行或支付提供商将资金记入收款人账户所需的时间,但通常情况下,这将不超过5个工作日,除非我们为了遵守适用法律而需要更长时间。

7.5. 取消支付。您可以通过Airwallex API或联系您的Airwallex账户经理提出取消支付请求,以在支付结算前取消支付。如果取消请求获批,Airwallex将发出取消确认。如果支付涉及外汇兑换,逆转外汇兑换所产生的任何取消差额将从客户的全球账户中扣除或存入,视情况而定。客户在Airwallex发出取消确认后不得撤回、修改或取消取消请求。如果在结算截止时间后提出取消请求,Airwallex可能会收取延迟取消费用。

7.6. Airwallex Pay服务。您可以指示我们授权和/或向Airwallex集团公司的客户("Airwallex Pay服务")进行支付,以购买商品和服务。

(a) 货币兑换。您可以通过Airwallex Pay服务以受支持货币进行支付。如果您的交易是以受支持货币进行的,则该交易金额将以该受支持货币向您开具发票。如果您没有该受支持货币的足够资金,Airwallex可能允许您在支付前进行外汇兑换。如果您收到已撤销的Airwallex Pay交易的退款或其他资金,我们不会逆转该外汇兑换。

(b) 退款。您将从商家那里以您初始支付的同一受支持货币收到退款。

(c) 授权和暂停。通过Airwallex Pay服务进行的支付("Airwallex Pay交易")可能需要我们的授权。我们可以根据合理自由裁量权,在不事先通知您的情况下拒绝授权和/或暂停您使用Airwallex Pay服务,包括但不限于以下情况:(i)您未向全球账户(支付和外汇)汇入足够的资金;(ii)所请求的交易超过我们可能不时就您使用Airwallex Pay服务设置的任何交易限额;(iii)我们怀疑存在欺诈或安全问题;或(iv)我们怀疑Airwallex Pay服务被用于非法目的。在授权Airwallex Pay交易之前,我们可能要求您按照我们指定的步骤确认您的身份。您承认并同意,我们不对您或任何其他人因未获授权而遭受的任何损失承担责任。

(d) 商品和服务。我们不对通过Airwallex Pay服务购买的任何商品或服务的质量、安全性、合法性或任何其他方面作出任何陈述或保证。我们不对任何商家拒绝接受您的支付而造成的任何损失承担责任。与通过Airwallex Pay服务购买的任何商品或服务有关的任何投诉、索赔或争议,必须直接与有关交易的商家解决。您无权因与商家的任何未解决的投诉、索赔或争议而拒绝向我们付款。

(e) 交易限额。我们可能不时为您使用Airwallex Pay服务设置交易限额,这可能是按日或按交易的基准。如果我们有合理理由怀疑您的Airwallex个人资料的安全性已受损或您违反了这些条款,我们可以立即书面通知您取消或暂时中止您的Airwallex Pay交易或Airwallex Pay服务。

(f) 您的责任。您将对通过您的Airwallex个人资料进行的所有交易负责。在下列情况下,您将对所有未经授权的交易负责:(i)违反或损害您Airwallex个人资料的安全性;(ii)延迟报告您的Airwallex个人资料或凭证被盗或被滥用;或(iii)违反这些条款,在这种情况下,您将负责所有损失,直到您通知我们您的Airwallex个人资料或凭证被盗或被滥用为止。

(g) Airwallex Pay 交易的撤销 

i. 您可能仅在诈骗或明显错误等非常有限的情况下要求撤销 Airwallex Pay 交易。在此类情况下,您必须以书面形式向我们提出请求,我们将自行决定是否接受或拒绝该请求。您不得因与商户就相关商品和服务发生争议而要求撤销 Airwallex Pay 交易。

ii. 您必须在原始 Airwallex Pay 交易发生后120天内向我们提出撤销请求,并提供我们要求的任何信息以支持您的请求。

iii. 如果经考虑您的请求后,我们认为您有权部分或全额撤销 Airwallex Pay 交易,并能从相关商户那里收到退款,则撤销金额将以 Airwallex Pay 交易的原始货币记入您的 Airwallex 账户 

8. 撤销和拒绝

8.1. 撤销。我们可能需要撤销与服务相关的任何已发送或已收到的资金,并从中扣除我们作为服务一部分收到的资金或退还我们收到的资金,包括在以下情况下:

(a) 发送人或任何相关支付服务提供商撤销了一笔交易或很可能撤销一笔交易;

(b) 发送人错误地向您转账;

(c) 您向我们提供了不正确的交易说明;

(d) 我们怀疑某项交易存在欺诈行为或违反这些条款或适用法律;或

(e) 我们行使第16条下的权利。

您必须尽快按照第9.5条的规定向我们补偿。如果我们撤销了一笔交易,我们将自行决定按照撤销时适用的现行外汇汇率进行撤销,或按照该交易原来适用的外汇汇率进行撤销。您可以要求配置您的账户,以使任何导致退款给您的被撤销交易以源货币或目标货币(如有支持)支付。如果退款需要外汇兑换,任何相关的外汇差额将相应地计入或从客户的全球账户中扣除。

8.2. 被拒绝的交易。我们可能会在以下情况下扣留、拒绝或延迟任何收到、兑换或发送的资金:

(a) 我们的往来银行合作伙伴、流动性提供商或其他金融机构无法提供有效的汇率;

(b) 任何相关的反洗钱或反恐融资限额已被超过;

(c) 您未遵守这些条款、可接受使用政策或适用法律下的义务;或

(d) 我们行使第16条下的权利。

8.3. 交易失败。我们可以自行决定并且不承担任何责任地取消任何外汇兑换或支付,或将其延迟至下一个兑换日或支付日(视情况而定),如果我们需要这样做是由于超出我们合理控制的原因,例如资金不足。

8.4. 资金不足。当在结算截止时间资金不足以进行一个或多个外汇兑换和/或支付时,Airwallex 保留自行决定进行外汇兑换或支付的权利(例如,按时间顺序,将可用于 Airwallex 的资金用于兑换或支付最早预订的外汇兑换或支付)。剩余的预订外汇兑换将被视为失败交易,并将产生相关的违约成本和管理费用。

8.5. 使用正确详细信息进行转账。在每种情况下,您都需要确保使用 Airwallex 指定的正确的银行详细信息和任何唯一的交易参考号进行资金转账。如果您未提供准确的详细信息,我们可能无法收到资金并将金额记录在相关账户中。在这种情况下,我们不对您可能遭受或产生的任何损失负责,尽管我们将努力调查并将错误或参考不当的付款记入或退还到您的账户。

8.6. 多余资金。当您向全球账户(支付和外汇)付款时,您必须就支付或外汇兑换给出准确和完整的说明。如果您没有给出准确或完整的说明,我们可自行决定:(a)将资金退还给发送人;(b)将资金汇入您告知我们的关联账户;或(c)以任何其他方式向您汇出资金,但需遵守任何适用法律。

9. 安全与安全性

9.1. 保护好您的Airwallex账户。为了使用Airwallex平台,您(或您的授权用户)必须使用唯一密码和多重身份验证登录:例如,我们可能要求您的授权用户在登录Airwallex平台时进行身份验证,或者在使用Airwallex平台进行某些交易时进行身份验证。您必须始终安全地存储所有登录信息和密码以访问Airwallex平台,并且只允许授权用户访问服务。

9.2. 如果您怀疑您的Airwallex账户可能已被侵犯,请与我们联系。如果您怀疑以下情况,您必须立即通过电子邮件至[email protected]与我们联系并更改您的密码:

(a) 您的Airwallex账户、对Airwallex平台的访问权限或其他安全凭证被盗、丢失、未经授权使用或以其他方式受到损害;或

(b) 其他人获知了您的Airwallex账户或用户账户的登录信息和密码.

任何延迟通知我们都可能影响您Airwallex账户的安全性或对Airwallex平台的访问,并可能导致您负责任何财务损失。

9.3. 定期检查您账户中的交易。您的所有活动都显示在Airwallex平台上。如果您怀疑或实际发现有未经授权的交易或Airwallex平台的其他安全问题,您必须立即通过电子邮件至[email protected]通知我们。如果交易是由于我们的错误、欺诈或交易错误造成的,我们可能会退还您损失的资金(见第9.4条)。如果您不立即通知我们任何未经授权或错误发起或执行的交易,您可能会失去纠正或退款的权利。在以下情况下,您也可能无法获得退款:

(a) 您违反了这些条款或任何适用法律;

(b) 您向我们提供了不正确的交易指示(在这种情况下,我们可能会合理地协助您收回资金,但我们无法保证一定能成功);或

(c) 任何损失不是直接由于我们的作为或不作为造成的。

9.4. 未经授权的交易。对于不在Airwallex直接控制范围内造成的未经授权交易,我们概不负责。特别是,但不仅限于此,在以下情况下,我们不承担责任(您将单独承担所有损失):

(a) 您未及时通知我们安全问题;

(b) 我们发现您或您的授权用户,或任何代表您的人,有欺诈或鲁莽行为(在任何情况下我们都不会给您退款);

(c) 您有意或疏忽大意地危及您的Airwallex账户或Airwallex平台的安全性,或未能履行按照本条款使用它们并保持所有登录信息和密码机密和安全的义务;

(d) 您向我们提供了错误的付款指示(我们可能会合理地帮助您收回资金,但不能保证一定成功);以及

(e) 在我们直接控制范围以外的任何其他情况,在适用法律允许的范围内。

9.5. 退款。如果我们为未经授权的交易向您退款,但随后发现您没有遵守本第9条的义务,您必须向我们偿还未经授权交易的金额。

9.6 确认。您确认:

(a) Airwallex不会对您通过Airwallex平台进行的任何交易的履行负责或作出担保;

(b) 您必须获取并使用可能对您使用或连接Airwallex平台所必需的任何设备、电信线路和连接;

(c) 您使用的某些软件和设备可能无法支持Airwallex平台的某些功能;以及

(d) 配置和更新您的信息技术、软件和设备以访问服务或Airwallex平台是您的责任。

(e) 您的责任。对于Airwallex遭受或产生的所有成本、费用、索赔、损害、费用、支出、损失、费用、罚款和责任,您将承担责任,这些来源于或与以下情况有关:(i)(如适用)您的错误指示、过度付款、付款错误或其他无效付款;(ii)您、您的员工、董事、高管或代表或任何代表您的人的任何错误、违约、疏忽、不当行为或欺诈;以及(iii)您未能遵守这些条款,包括但不限于本第9条而产生的任何成本、费用、索赔、损害、费用、支出、损失、费用、罚款和责任。

9.7. 您的责任。您将对Airwallex遭受或产生的所有成本、费用、索赔、损害、费用、支出、损失、费用、罚款和责任承担责任,这些是由于或与以下情况有关的:(i)(如适用)您提供的错误指示、overpayment、付款错误或其他无效付款导致的;(ii)您、您的员工、董事、高级职员或代表,或任何代表您行事的人的任何错误、违约、疏忽、不当行为或欺诈;以及(iii)由于您未能遵守本条款,包括但不限于本条款9,而导致Airwallex遭受或产生的任何成本、费用、索赔、损害、费用、支出、损失、费用、罚款和责任。

10. 费用和收费

10.1. 服务费用。您将支付我们在www.airwallex.com上提供的费用表或我们以其他方式书面约定的服务费用。服务费用是根据您使用的服务单独收取的,例如:

(a) 收款服务:收款服务的服务费通常涉及对为您收取的资金收取一定比例的费用。

(b) 付款服务:付款服务的服务费通常取决于您是使用当地渠道还是SWIFT付款渠道。

(c) 外汇兑换服务。外汇兑换服务的服务费通常涉及在汇率基础上收取客户溢价。

10.2. 服务费的变更。除非我们另行书面同意,否则我们可以随时修改服务费,修改将从我们通知您适用之日起生效。

10.3. 税收。应付给我们的所有金额:

(a) 不包括所有现有或未来颁布的税收和类似费用,您将全额负责并支付这些费用;

(b) 将全额支付,不得进行任何抵销、反索赔、扣除或扣缴,除非适用法律禁止。如果适用法律要求您从任何付款中扣缴预提税:(i)您将及时通知Airwallex此要求;(ii)双方将进行所有必要的备案,以确保任何适用的税收协定适用于该付款;(iii)您将向Airwallex支付额外金额,以致Airwallex收到的金额应为在没有应扣缴或扣除的情况下应收到的全额;(iv)您将在到期时向相关当局全额支付应扣缴或扣除的金额;以及(v)您将及时向Airwallex提供官方收据(或经认证的副本)或Airwallex合理接受的其他文件,证明向该等当局付款。

10.4. 支付欠款的义务。您必须立即支付欠我们的任何款项,包括因任何冲销、退款、费用、收费或其他交易而产生的款项,我们可以暂停您使用服务和访问任何相关账户,直到我们收到该款项。

10.5. 扣除您欠我们的金额的权利。我们可以从我们收集或收到的作为服务一部分的资金或根据第13.6条提供的任何担保中扣除您不时欠我们的任何金额。如果您没有足够的资金支付您欠我们的金额,我们可以自费采取合理步骤来收回该金额(例如采取法律行动或使用债务催收服务)。

10.6. 担保。我们可以随时要求您在收到我们书面要求后30天内(或我们确定的更长合理期限)提供担保、赔偿或其他担保(包括替换任何现有担保),形式和资产均由我们合理要求,以合理满意地确保您履行不时根据本条款的义务(包括或有或潜在义务)。

11. 知识产权

11.1. 许可。在您遵守本条款以及我们产品和服务的其他适用条款的前提下,我们授予您一个个人的、可撤销的、不可转让的、不可分许可的和非独占性的许可以访问和使用(i)与服务和其他根据本条款的补充条款所提供的服务相关的Airwallex技术;(ii)(如适用)与根据支付条款所提供的服务相关的Airwallex技术;和(iii)任何适用的产品文档(“Airwallex资料”),允许您通过任何受支持的网页浏览器访问和使用Airwallex平台,用于管理我们的服务,前提是您遵守这些条款。

11.2. 所有权。我们拥有Airwallex资料及其专有技术的所有知识产权,包括其软件(源代码和目标代码形式)、算法、用户界面设计、架构和文档(印刷和电子形式),以及网络设计,包括任何修改、改进和衍生作品。本条款、补充条款和支付条款(视具体情况适用)不会将Airwallex资料及其专有技术的任何所有权转让给您。

11.5. 他人的权利。您不得以任何侵犯或违反我们或任何其他人的版权、商标或其他知识产权,或以其他方式违反任何适用法律的方式使用我们的服务,包括Airwallex资料。Airwallex资料可能会显示我们不拥有的内容,我们对此不负责。除非您事先获得我们或内容所有者的许可,或者法律允许,否则您不得使用我们任何服务(包括Airwallex资料)中的任何内容。

11.6. Airwallex的赔偿。如果第三方声称,根据本条款获准使用Airwallex资料的行为侵犯了任何知识产权,那么Airwallex将:

(a) 自费为您辩护或(根据Airwallex的选择)解决针对您提起的任何索赔或诉讼("索赔"),并对您因此类索赔而产生或遭受的任何合理损失、损害、成本(包括合理的法律费用)和开支负责,第18.2至18.4条将相应适用;以及

(b) 如果无法安静地享有Airwallex资料,Airwallex将在合理可行的情况下尽快确保您可以继续使用Airwallex资料,或替换或修改Airwallex资料以使其不再侵权(而不会降低其性能或质量)。

11.7. 除外情况。第14.6条不适用于以下情况:

(a) 任何客户数据;

 (b) Airwallex以外的任何人对Airwallex资料的修改;

(c) 您对Airwallex资料(或其任何部分)的拥有或使用:(i)不符合这些条款;或(ii)与任何其他产品、服务或材料结合使用,如果没有这种组合,Airwallex资料就不会构成侵权;

(d) 使用非当前版本的Airwallex资料;或

(e) 遵守您的规格或说明。

11.8. 推广。您同意,我们可以在我们的服务推广和营销材料以及我们的网站上包含和使用您的公司名称、徽标、商号、商标和一般业务信息。您可以随时以书面形式合理地要求我们停止使用您的公司名称、徽标、商号、商标和一般业务信息进行这些目的。

11.9. Airwallex标识。Airwallex 在其业务过程中拥有或使用的所有 Airwallex 标识均为 Airwallex 的财产。Airwallex 保留与使用 Airwallex 标识相关的所有知识产权。未经 Airwallex 事先书面同意,您不得使用 Airwallex 标识或任何类似标识。

12. 保密性、隐私和数据使用

12.1. 保密信息。您承认您可能会接触到属于我们的保密信息,并且您必须根据本条款的条款对此类信息保密。

12.2. 保密承诺。您同意:

(a) 除非出于以下情况所需,否则不会向任何第三方披露我们的任何保密信息:(i)根据法律或任何有管辖权的主管当局的要求;(ii)向您的律师、会计师和其他顾问合理必要的披露;或(iii)为了应对实际或威胁的诉讼程序,但在上述(i)和(iii)情况下,您将提前给予我们合理的通知,并提供我们可能要求的详细信息(在适用法律允许的情况下);

(b) 将采取与保护自己的保密信息同等严格的预防措施来保护此类信息的保密性。

12.3. 向员工和代理人披露。此外,您只能向与本条款相关而需要了解此类保密信息的代理人、代表和员工披露我们的保密信息,并告知他们此类信息的保密性质,并要求他们按照本第15条的条款和条件行事。对于您的代理人、代表和员工泄露保密信息的行为,您将承担责任,就如同您自己进行了披露一样。

12.4. 隐私和个人数据。保护个人数据对我们来说非常重要。除了本条款,我们的隐私政策还解释了我们如何以及为什么收集、使用、保留、披露和保护您提供给我们的个人数据。您同意查阅我们不时更新的隐私政策条款。

12.5. 用途。您同意与Airwallex分享个人数据,并授权Airwallex收集、使用、存储或以其他方式处理此类个人数据,用于以下"约定用途",以使我们能够:

  • 协助向您提供有关产品或服务的信息;

  • 考虑您对产品或服务的请求;

  • 使我们能够提供产品或服务;

  • 管理Airwallex与客户的关系;管理帐户并执行其他行政和操作任务(包括风险管理、系统开发和测试、信用评分、员工培训、收取欠款和市场或客户满意度研究);

  • 设计新产品和服务或改进我们提供的现有产品和服务;

  • 与您进行一般和具体沟通;

  • 识别、预防或调查任何欺诈、非法活动或不当行为(或涉嫌欺诈、非法活动或不当行为);

  • 遵守所有适用法律,包括进行反洗钱、金融犯罪和其他筛查检查;

  • 验证与您相关的任何信息和记录;

  • 遵守这些条款和隐私政策;

  • 使我们业务的实际或拟议受让人(人)能够评估拟进行的转让交易,并使实际受让人(人)能够在业务运营中使用您提供的个人数据;以及

  • 用于我们隐私政策中规定的任何其他目的。

12.6. 数据主体。我们可能会收集个人数据的数据主体类别可能包括以下自然人:客户、客户的董事和最终受益所有人、您的客户、员工和承包商、付款人和收款人。您可能会与Airwallex分享以下关于数据主体的部分或全部个人数据:

  • 全名;

  • 电子邮件地址;

  • 电话号码和其他联系信息;

  • 出生日期;

  • 国籍;

  • 公开的有关数据主体的信息;

  • 根据本条款要求的其他相关验证或尽职调查文件;以及

  • 为执行约定用途而必要或相关的任何其他数据。

12.7. 合规性。任何一方都不会故意以违反适用数据保护法规的方式履行其在本条款下的义务。任何一方都不对因另一方未能遵守适用数据保护法规而导致的任何后果负责。

12.8. 承诺。如果您或Airwallex处理个人数据,则各方将:

(a) 以公平和合法的方式处理个人数据,并确保根据数据保护法规有合法理由进行此种处理;

(b) 获得并维持数据保护法规要求的所有适当登记,以允许其根据本条款使用个人数据;

(c) 确保采取适当的技术和组织安全措施来保护其控制下的个人数据;确保有权访问和/或处理个人数据的所有人员都有义务对其保密;

(d) 仅在采取适当措施使之根据数据保护法规合法的情况下,才在司法管辖区之间转移个人数据;

(e) 如果收到数据主体或监管机构的任何请求、投诉或其他通信,并且该通信针对或意图针对另一方,则会及时通知另一方;以及

(f) 如果发现与另一方直接相关的个人数据泄露事件,会及时通知另一方。

12.9. 数据安全。您将确保以安全和符合数据保护法规的方式向Airwallex传输任何个人数据,同时还要满足我们规定的任何其他合理的信息安全要求。

12.10. 合作。每一方都将负责回应监管机构的请求或行使其在适用数据保护法规下权利的个人。每一方都将为另一方提供合理的配合和协助,以遵守数据保护法规和任何相关适用法律施加的所有义务,包括:(i)处理和回应数据主体的任何通信;(ii)处理、缓解和应对任何个人数据泄露;以及(iii)与安全、影响评估和与监管机构或监管机构的协商有关。

12.11. 数据处理。在本条款终止时,或一旦不再需要处理任何个人数据来实现约定目的,各方将根据适用法律安全地处置其拥有的任何此类个人数据。

12.12. 数据安全。我们将采取数据保护法规要求的所有步骤,以确保就此类披露采取适当的信息安全防护措施。

12.13. 您提供的他人的个人数据。如果您向我们提供他人(包括但不限于您的授权用户、您的董事和最终受益所有人、您的客户、员工和承包商、付款人和收款人)的个人数据,您承诺我们可以依赖您获得此类其他人同意披露其个人数据给我们,我们将按照本条款的条款使用。您有责任向他们展示这些条款的信息,以便他们了解Airwallex可能如何收集、使用和披露他们的个人数据,包括为直接营销目的使用个人数据,以及他们同意您代表他们提供的个人数据被我们使用。

  • 任何适用法律或法规允许或要求(或预期)披露信息的人,或根据法院命令;

  • 您的任何推荐人或代表(包括任何专业顾问、经纪人、介绍人、律师或执行人);

  • 信用调查机构,以及在违约情况下,给债务催收机构;

  • 您授权的任何代理人或法定授权人,如破产管理人或受托人,或您的法定代表;

  • Airwallex全部或部分业务和/或资产和/或权益的任何实际或拟议受让人。

 13.2. 个人数据用于直接营销

我们可能会使用您提供的个人数据进行直接营销,我们需要从数据主体那里获得同意(或表示无异议)才能这样做。就此请注意:

  • 我们不时掌握的数据主体的姓名、联系方式、产品和其他服务信息、交易模式和行为、财务背景和人口统计数据,可能被我们用于直接营销;

    • 慈善或非营利性组织。

14. 责任限制

14.1. 责任范围。这些条款中没有任何内容排除或限制任何一方在法律上不得排除或限制的责任。这包括以下情况:

(a) 由于自己的过失而造成的人员伤亡;

(b) 欺诈或虚假陈述;或

(c) 根据这些条款应当支付的所有款项。

14.2. 直接损失。直接损失可根据这些条款予以索赔。但是,除非本条款另有规定,否则任何一方均不对任何间接或后果性损失负责。

14.3. 排除责任。我们不对以下情况向您负责:

(a) 由于任何第三方代理银行、流动性提供商或支付网络中其他金融机构的过失、欺诈、故意不当行为或破产而造成的我们无法直接控制的任何损失;

(b) 如果您在付款指令中提供的信息有误,则未执行或执行有误的付款;或

(c) 由于收款方银行未能正确处理付款而造成的错误、失误或未能履约。

对于(b)或(c)中的情况,我们将尽合理努力收回付款款项。您将负责我们为此进行任何收款尝试而产生的所有费用,即使我们无法成功收回款项。

14.4. 累计责任。除第17.5条另有规定外,Airwallex因这些条款而对您承担的所有诉讼的总累计责任不超过您在责任首次产生前一(1)年内向Airwallex支付的服务费总额。

14.5. 外汇兑换责任。在适用法律允许的最大范围内,Airwallex对任何外汇兑换(无论是基于合同、侵权还是其他原因)的最大责任,在任何情况下都不会超过Airwallex在该外汇兑换下出售的货币金额。

14.6. 衡平救济。损害赔偿可能不足以救济违约,因此任何一方均有权寻求禁令救济、特定履行或其他衡平救济来应对任何威胁或实际违约。

14.7. 减轻损失。各方同意采取合理措施减轻根据这些条款应得到赔偿的任何损失。

15. 赔偿

15.1. 客户的赔偿。您将在我们要求时赔偿我们因以下情况而遭受的所有损失、损害、成本(包括合理的法律费用)和开支:

(a) 您违反这些条款、未遵守适用法律、未遵守可接受使用政策或您对我们的服务的使用或滥用;

(b) 第三方声称我们根据这些条款使用客户数据侵犯了任何知识产权;

(c) 您的任何Payouts或FX Conversions,包括我们根据我们合理相信是由您或您的授权用户发出的任何指示而采取的行动;或

(d) 在转换日期或付款日期之前关闭或取消全部或任何部分FX Conversion或Payout,包括因您未能提供FX Conversion或Payout所需资金而导致我们必须这样做。

15.2. 第三方索赔。本第15.2条和第15.3条及15.4条适用于本第15条、第11.6条和第19条项下的义务。如果一方获悉可能导致第15条、第11.6条或第19条项下索赔的任何索赔或诉讼(每一项称为"第三方索赔"),该方将立即书面通知另一方,并且在另一方始终遵守第15.3条的情况下,第一方将:

(a) 允许另一方控制对该第三方索赔的辩护;和

(b) 应另一方的要求和费用,为另一方辩护任何此类第三方索赔提供合理协助。

15.3. 辩护。如果另一方承担第三方索赔的辩护,另一方将:

(a) 立即通知第一方已经承担了该辩护;

(b) 始终顾及第一方的利益和声誉,并遵守在辩护该第三方索赔中适用的所有法院规则;

(c) 就任何谈判、和解或诉讼进行咨询并保持第一方知情;和

(d) 未经第一方事先书面同意,不得就第三方索赔达成任何涉及除金钱支付之外的补救措施的和解或妥协。

15.4. 赔偿。如果另一方未能在收到该第三方索赔的书面通知后14天内按照第15.3条的规定承担第三方索赔的辩护,则第一方或第一方指定的人员可以以其认为适当的方式进行第三方索赔的辩护,另一方将按要求赔偿第一方与该第三方索赔相关的所有成本、索赔和责任。

15.5. 中断成本。在不限制这些条款的任何其他规定的情况下,如果我们已经根据您的指示为全部或部分FX Conversion或Payout提供资金或安排提供资金,而您取消或未能完全提供该FX Conversion或Payout所需资金,您将按要求赔偿我们因投资、存款或其他部署该资金或 解除该资金安排而产生或遭受的任何损失、损害、成本(包括合理的法律费用)和开支。

16. 终止和暂停

16.1. 关闭您的Airwallex档案。您可以通过停止使用服务并提前30个日历日书面通知我们终止这些条款,随时关闭您的Airwallex档案。

16.2. Airwallex暂停或终止的权利。我们可以提前30个日历日书面通知您终止这些条款(或任何其他补充条款)。此外,如果出现以下情况,我们可以立即无需通知而暂停或终止全部或任何部分这些条款、任何其他补充条款或任何服务,或阻止任何交易:

(a) 我们怀疑您的Airwallex档案有涉及犯罪活动,或您的Airwallex档案被用于欺诈,或我们有合理理由相信您已就未经授权的交易请求退款;

(b) 我们合理地相信您违反了适用法律或即将违反适用法律;

(c) 我们依法必须这样做,包括接受任何相关监管机构的指示;

(d) 您已违反这些条款的任何条款或违反可接受使用政策中的任何适用限制或限制;

(e) 您向我们提供了虚假或不准确的信息,或我们无法验证您提供的任何信息;

(f) 您告知我们,或我们怀疑或发现任何涉嫌或实际的未经授权交易;

(g) 您已被列入任何国家或国际限制或禁止名单,这阻止我们与您开展业务;

(h) 您曾经对Airwallex的任何人进行辱骂;

(i) 您未接受对这些条款的更改;

(j) 我们暂停或停止全部或部分服务,包括出于技术或安全原因;

(k) 我们对您的Airwallex档案有合理的顾虑,包括对服务的使用;

(l) 您未在到期日前支付或偿还我们任何应付款项;

(m) 我们的任何银行合作伙伴或提供服务所需的其他服务提供商要求我们终止这些条款;或

(n) 您在12个月内未使用您的Airwallex档案,该档案变为不活跃。

16.3. 阻止交易。如果您的指示不清晰、不完整或含有错误,我们也可以阻止任何交易。

16.4. 我们将尽可能提前通知您暂停。我们将在暂停实施之前或之后立即尽快通知您暂停及其原因,除非这会损害我们合理的安全措施或其他情况下属于非法。一旦暂停的原因不再存在,我们将尽快解除暂停。

16.5. 立即终止。在不影响任何其他可用权利或救济的情况下,任何一方均可立即向另一方发出书面通知终止这些条款或任何补充条款,而无须向另一方承担任何责任:

(a) 如果另一方:

(i) 严重违反这些条款(或补充条款),且在收到正式书面通知后30天内未能补救此类违约行为;或

(ii) 连续违反这些条款(或补充条款),整体上构成严重违约;或

(iii) 发生破产事件;

(b) 如果一方合理地确定履行其在本协议项下的义务已变为非法;或

(c) 如果发生持续1个月以上的不可抗力事件,致使另一方无法履行其在本协议项下的任何义务。

16.6. 终止后的偿付。终止后,您需要立即偿还欠我们的任何款项。在第16.2条或16.5条规定的情况下,我们可能会向您收取我们发生的任何费用、开支和损失(包括由于汇率差异或我们可能采取的任何行动而产生的成本)。一旦所有应付给我们的款项都已偿还,我们持有的任何剩余服务费用将返还给您。

16.7. 终止的效力。本协议或任何补充条款终止后:

(a) 您将无法使用Airwallex平台(或这些补充条款下的服务),所有授予您的权利将终止;

(b) 您必须立即返回或删除任何构成或涉及Airwallex平台(或这些补充条款下的服务)的文档、笔记和其他材料的副本;

(c) 您在本协议(或补充条款)项下直至终止生效日期提供的所有服务付款义务将立即到期应付;

(d) 双方将在本协议或补充条款终止后30天内返回或删除对方的所有保密信息,除非为遵守适用法律而必须保留副本;以及

(e) 任何明示或暗示在终止后继续有效的条款将继续全面生效。

17. 第三方服务提供商

17.1 承认。您承认并同意:

(a) 我们可能与第三方(包括其他Airwallex集团公司)合作提供服务;

(b) 如果您从我们那里收到有关或由该等第三方提供的信息,您不会依赖该信息,也不会就该信息对我们或第三方提出任何索赔。您同意,如果您选择违反本条款依赖该信息,您将承担所有风险和责任。

17.2. 由Airwallex提供的服务。如果我们使用第三方提供服务,您确认该服务由Airwallex向您提供,而不是由第三方提供,除非任何补充条款中以书面形式明确规定服务或服务功能由第三方提供。

17.3. 遵守数据保护法规。如果我们使用第三方提供服务,我们将确保第三方遵守与根据本条款处理个人数据有关的数据保护法规。

18. 声明和保证

18.1. 客户保证。您向我们声明并保证:

(a) 您将遵守这些条款、产品文档和所有适用法律,以及关于您使用服务、Airwallex平台和客户数据的法律;

(b) 您有权力和权限签订这些条款并履行您在其中的所有义务;

(c) 您有合法权利授予我们这些条款中定义的权利,且不会违反任何适用法律或第三方的专有权利;

(d) 您将始终向我们提供准确、最新和完整的客户尽职调查信息和数据,遵循这些条款第4条的要求;

(e) 您将以免费和清晰的方式向我们支付所有款项,没有任何第三方的权利主张、抵押或其他权益;

(f) 您将仅出于合法目的使用服务和Airwallex平台。

18.2. 客户行为。您对使用服务和Airwallex平台的其他功能负全责,包括您自己或您授权的用户通过Airwallex平台执行的任何数据或传输内容。您将采取所有合理努力,确保没有未授权的人访问您的Airwallex个人账户或Airwallex平台的其他功能。您不得干扰、破坏或损害其他Airwallex平台或服务的用户。

18.3. 您不得滥用Airwallex平台。您不能:

(a) 以除Airwallex API或Web应用程序之外的方式访问Airwallex平台,例如未经我们许可使用自动化手段(包括数据收集机器人、机器人、爬虫或刮取器);

(b) 做任何可能中断、禁用、过度使用或损害Airwallex平台的事情,例如拒绝服务攻击;

(c) 导致病毒或其他恶意代码干扰Airwallex平台的使用。

18.4. 免责声明。除了这些条款中明确规定的,所有其他明示或默示的保证、条件和条款(包括对质量、适销性、特定用途适用性或无侵权性的任何默示保证)在法律允许的范围内均被排除。特别是,我们:

(a) 不作任何关于Airwallex平台内容或数据、Airwallex平台的具体功能、其准确性、可靠性、可用性或满足您需要能力的承诺;

(b) 不保证Airwallex平台将不间断或无错误地运行,始终可用,其中的信息为最新或准确的,没有bug或病毒,也不会出现故障;

(c) 可能偶尔出于运营、安全或其他合理原因中断您对Airwallex平台的使用,在这种情况下,我们将尽快恢复访问。

18.5. 财务建议。您不应将Airwallex的任何信息或评论视为财务建议。您应当考虑获取自己的独立建议,以了解任何此类信息或评论以及服务的使用。

19. 反贿赂、反腐败和制裁

19.1. 您将(并确保您为履行本条款项下或与之相关的义务而使用的任何人员,包括授权用户、员工、代理人、顾问和分包商):

(a) 国2010年《反贿赂法》和美国《反海外腐败法》('反腐法规');

(b) 不做任何可能导致另一方违反任何此类反腐法规的事情或不作为;

(c) 不给予或收受任何贿赂,包括涉及任何公职人员;

(d) 维持一个旨在确保遵守反腐法规的计划,包括教育和培训计划以及合理计算的防止和发现违反反腐法规行为的措施;

(e) 在被要求时,以及在另一方的合理费用下,向我们提供足够的合理协助,使我们能够执行任何政府或机构为遵守反腐法规或与反腐法规调查有关而要求的任何行动;以及

(f) 及时通知我们任何针对其在法院、仲裁或行政程序中提出的涉及违反制裁、欺诈、贿赂或腐败或非法行为的指控,或任何开始的相关调查。

19.2. 您承诺您不是,并将确保您的任何授权用户、董事、高管、代理人、员工或代表均不是受限制人员,且不会直接或间接代表受限制人员行事。在法律允许的情况下,一旦得知,您必须向我们提供任何制裁当局针对您或此类人员提起的任何索赔、诉讼、诉讼、程序或调查的详细信息。

19.3. 您将赔偿我们因对方违反本条款而遭受的所有责任、损失和费用。

20. 市场中断、错误和不可抗力

20.1. 不可抗力。如果由于不可抗力事件而妨碍履行任何义务,则任何一方都不对未能履行该义务负责,但仅限于该义务受到妨碍的范围和时间。受不可抗力事件影响的一方将:

(a) 及时通知另一方可能导致无法履行其义务的任何情况;以及

(b) 采取合理努力减轻不可抗力事件对其履行义务的影响。

20.2. 市场中断。如果在我们向您提供外汇兑换率后,根据我们的合理意见,发生了市场中断,则就所有或某些受市场中断影响的货币对而言,直到我们合理确定市场中断期已结束,我们可以立即修订任何外汇兑换率或任何外汇兑换率的任何费率或利润成分。

20.3. 外汇兑换率错误。如果执行外汇兑换时使用的外汇兑换率明显且实质性地偏离市场价格,您不得依赖该明显错误。在这种情况下,我们可以宣布该外汇兑换无效,您需要退还我们在该外汇兑换下支付的任何金额,我们将以正确的汇率重新处理该外汇兑换。

20.4. 费用支付。本条款不限制或以其他方式影响您支付任何费用或其他费用或到期金额的义务

21. 以消费者身份行事

21.1. 本第21条适用于您,如果您是自然人。您向我们声明,您经营一项业务,并且除非您在签订本协议之前已经告知我们,否则将只将服务用于商业目的。除非我们批准您这样做,否则您不得将服务用于消费者目的(或以消费者身份)。

21.2. 如果您以消费者的身份使用我们的服务,即您不是出于业务目的而签订本协议(并未声称如此):

(a) 您必须遵守我们的可接受使用政策,

(b) 本条款第22.8条不适用于您,以及

(c) 我们提请您注意第14.4条(我们对您的总体责任限制)和第15条(您对我们的赔偿义务)。

21.3. 如果您需要改变使用服务的目的,请向我们提出书面请求。如果您改变使用我们服务的目的,我们可能需要您提供更多详细信息(例如,我们可能要求您提供营业执照号码的证据)。

22. 总则

22.1. 完整协议。 这些条款代表了双方就本条款所述主题事项达成的全部协议,并取代和终止了我们之间先前的所有书面或口头协议、陈述、承诺和声明。每一方确认在签订本条款时,并不依赖于本条款中未载明的任何陈述或保证(无论是有意还是过失)。每一方同意,不会基于本条款中的任何声明提出无意或过失性失实陈述或疏忽陈述的索赔。

22.2. 投诉。 如果我们出现失误或未能满足您对我们服务的期望,请告知我们。我们有内部的投诉处理程序,按照监管要求公平、及时地处理投诉。我们的投诉程序可应要求提供。

22.3. 通知。 根据本条款,所有通知、要求和其他通讯将以书面形式发送至双方的注册地址,可通过以下方式发送:

(a) 一级挂号或认证邮寄;

(b) 快递或次日送达服务或当面递送;

(c) 电子邮件;

并在送达时视为收悉。您同意并认可通过电子邮件和其他电子方式(如通过Airwallex平台)从我们接收通知和其他通讯。

22.4. 关系。 除本条款或任何补充条款明确规定外,本条款不应被解释为在双方之间建立合伙或合资关系,或任何一方成为另一方的代理,或授权任何一方为另一方作出承诺。各方确认是按自己的利益行事,而非代表任何其他人。

22.5. 转让。 未经我们事先书面同意,您不得全部或部分转让本条款。任何此类尝试均属无效,并构成对本条款的实质违反。我们可以在无需您同意的情况下全部或部分转让本条款,或分包履行义务。

22.6. 弃权。 一方未能或延迟行使本条款或法律项下的任何权利或救济,或单次或部分行使该等权利或救济,均不构成对该等或任何其他权利或救济的弃权,也不会妨碍或限制进一步行使该等或任何其他权利或救济。

22.7. 可分割性。 如果本条款的任何条款被有管辖权的法院认定为无效、不可执行或非法,则该条款应视为被删除,但不影响其余条款。如果该条款经适当修改或删除后能够合法、有效和可执行,则应采取最小必要的修改予以适用。

22.8. 不招揽。 在本条款期限内和终止后一(1)年内,您不得招揽在前十八(18)个月内与您有过实质往来的任何Airwallex员工。但这不适用于: (i) 事先经我们书面同意的情况; 或 (ii) 您或代表您进行的公开招聘活动,且未针对任何Airwallex员工。本第22.8条在本条款终止后继续有效。

22.9. 第三方权利。本条款专门订立于双方之间,并为双方利益而订,《合同(第三者权利)条例》(第623章)不适用于本条款。非本条款一方的任何人(无论是否在本条款中被命名、提及或以其他方式确认,或是否构成一类被命名、提及或确认的人)均无权根据任何适用法律(包括《合同(第三者权利)条例》或其他法律)强制执行本条款或享有本条款项下的任何权利。任何一方均不得自认为是本条款项下权利的受托人,以使第三方获益。

22.10. 抵销。 我们可随时将您欠我们的任何付款义务(无论现在或将来、已清算或未清算,以及是否源于本条款)抵销against我们欠您的任何付款义务。如果待抵销的债务以不同货币计价,我们可按市场汇率将其中一种债务换算为另一种。我们的抵销权包括但不限于,将您要求的任何付款金额抵销我们作为收款服务的一部分代您收到的任何金额。

22.11. 付款顺序。 我们可以自行决定账户交易的处理顺序,但需遵守法律要求。例如,如果您发出一个或多个提款指令而账户(提款和外汇)中没有足够资金,我们可以自行决定使用随后收到的任何资金来执行其中一个或多个提款指令,除非您另有指示。

22.12. 记录。 您同意,除出现明显错误外,我们有关您使用本服务以及通过Airwallex平台进行的交易的记录是其内容的确凿证据。

22.13. 其他语言。 本条款以英文书就。可能会翻译成其他语言以便使用,但如有任何不一致,以英文版本为准。

22.14. 管辖法律。 本条款受香港法律管辖并据其解释。香港法院对因本条款引起、与之相关或与之有任何联系的任何争议(包括非合同性争议或索赔)(为本第22.14条之目的,称为"争议")具有专属管辖权,双方均服从香港法院的专属管辖。为本第22.14条之目的,各方放弃以香港法院为不便或不适当的争议解决论坛的任何异议。

23. 定义和解释

23.1. 在本条款中,以下定义适用:

行动:指任何针对任何性质的损失、损害、费用、罚款、费用和其他负债(无论是可预见的还是偶发的,以及是否与第三方索赔有关)的任何行动、索赔、要求或程序,包括与违反合同、疏忽、欺欺、故意不当行为、违反法定职责或其他索赔依据有关的情况,以及以任何方式遭受、发生或遭致的行动。

附加条款:指我们网站www.airwallex.com上适用于使用我们服务的任何其他使用条款,包括适用于在特定地区使用我们服务的任何具体条款。

预付定金:指客户必须向Airwallex支付的一定金额的抵押品,与某些后买即期交易有关。

Airwallex API:指规定实现授权用户将其技术系统与Airwallex平台集成所需的协议和规范的技术接口。

Airwallex API文档: 指公布于我们的网站(www.airwallex.com)上适用于Airwallex API的文档和指南。

Airwallex标识:指一切商标、标识、商业名称、域名和Airwallex或其许可方的任何其他标识或材料。

Airwallex资料具有第11.1条所赋予其的涵义。

Airwallex数据:指使用Airwallex基础设施的交易详情、用于欺骗检测和分析的信息、与服务相关生成的汇总或匿名信息,以及Airwallex或服务创造的任何其他信息。

Airwallex集团公司:指Airwallex及其关联公司。

Airwallex平台:指Airwallex开发的专有技术和相关产品(包括但不限于网页应用程序和通过Airwallex API提供的产品),旨在为客户提供包括访问全球账户(收款)在内的服务。

Airwallex个人资料:指记录您个人或商业(视情况而定)详细信息的电子信息档案,用于登录和使用Airwallex平台。

Airwallex技术: 指Airwallex 为向您提供任何产品和/或服务而设计的任何专有技术和相关产品(包括 Airwallex 平台)。

适用法律:指适用于任何一方根据本条款开展或采取行动的所有法律、法规、有约束力的行为准则或任何相关监管机构的规则或要求,包括:(i)货币服务业务;(ii)支付服务;(iii)反洗钱、了解您的客户、反恐融资和制裁要求;(iv)数据保护;(v)消费者保护,以及(vi)任何监管机构发布的任何行为准则或指引,香港的优质金融机构都必须遵守或惯常遵守。

授权用户:指您为第7.1条所述目的而指定的任何人员(例如,您的董事、高管、员工或专业顾问)。

营业日:指香港银行一般开放营业的任何日期(除了香港的星期六、星期日或公众假期,或香港悬挂8号或以上热带气旋信号或黑色暴雨警告的任何日子)。

取消确认:指Airwallex根据第6.14条款确认客户指示Airwallex取消外汇兑换的确认。

取消差额:具有第6.14条款中规定的含义。

取消请求:指客户根据第6.14条款发出的取消外汇兑换的请求。

收款服务:指Airwallex根据这些条款向您提供的收款代理服务,涉及Airwallex以支持货币收取资金。

保密信息:指并包括所有保密信息,无论是口头还是书面形式:(i)关于一方的业务和事务,一方从另一方获得或接收;或(ii)源于履行这些条款下的任何义务。保密信息不包括:(a)接收方在未受披露限制的情况下事先知道的信息;(b)从合法获得该信息且无任何限制披露义务的第三方接收的信息;(c)经披露方书面批准可以披露的信息;(d)除违反这些条款外,已经公开的信息;或(e)在没有访问披露方披露的任何保密信息的情况下独立开发的信息。

确认:指Airwallex对您的指示进行外汇兑换、付款或两者的响应和确认。

兑换日:指在外汇兑换中购买的资金可供客户以清算资金形式使用的日期。任何货币对的兑换日必须是交易双方所在国家的营业日。

客户数据:指描述您及您的业务(如适用)及其运营、您的产品或服务以及您的客户下订单的信息。

客户保证金:指Airwallex平台上适用于您的金额,或我们可能不时以书面形式通知您的任何其他百分比或金额。

数据: 指所有客户数据、个人数据、支付数据和Airwallex数据。

数据主体: 指任何可直接或间接通过标识符(如姓名、身份号码、位置数据或与该人的身体、生理、遗传、心理、经济、文化或社会身份相关的因素)识别的自然人。

数据保护法规:指适用的隐私和数据保护法律以及香港任何相关的国家实施法律、法规和二级法规,涉及个人数据的处理和电子通信的隐私,以及不时修订、替换或更新的内容。

直接损失:指就任何违约而言,违约方在以下时间点知道或作为合理人应合理知道可能因违约而合理可能发生的损失:(i)订立这些条款时;或(ii)违约时。为避免疑问,以下内容不属于直接损失:商誉损失;业务损失;利润损失;运营时间损失;声誉损失;机会损失;数据或信息损坏;或预期节省损失,即使违约方知道或应合理知道可能发生此类损失或损害。

延期结算交易:是指结算时间超过交易订立后两日的外汇兑换,并完全涉及以公平或市场价值提供财产(除货币外)或服务或就业的现有或拟议合同或安排。

不可抗力事件:指超出一方合理控制的事件,包括:黑天鹅事件; 罢工、停工、劳工问题(但不包括该方的员工、代理或分包商的罢工或其他形式的工业行动);公共设施服务(包括互联网、电力、燃气或水)中断或故障;暴乱、战争、大流行、恐怖袭击;核、化学或生物污染;极端异常气候条件;制裁、禁运或外交关系中断的施加;或任何适用法律的变更。

基准汇率:指我们为外汇兑换和兑换日指定的货币兑换基准汇率,考虑了我们外汇服务提供商提供的成本、银行间汇率和相关市场条件。

外汇兑换: 指双方达成的协议,以约定汇率在Airwallex平台上买卖一种货币兑换另一种货币.

外汇兑换服务: 指Airwallex根据这些条款提供的与外汇兑换相关的服务。

汇率差额: 指原交易的汇率和退款交易适用的汇率之间的差额。

汇率: 指基准汇率加上可能适用于您的任何其他保证金,包括客户保证金。

全球帐户(收款):指在您名下注册并由您创建的唯一账户分类账,记录Airwallex作为收款服务的一部分为您从付款人那里收取的资金金额。

全球帐户(支付和外汇)指:(1)由Airwallex为您创建的或(2)由您自行创建但根据Airwallex的要求指定为此类账户的以您名义开设的银行账户,您可将资金存入该账户以支付任何外汇兑换或支付交易。

集团公司:指Airwallex或Airwallex的最终控股公司(i)直接或间接拥有超过50%的表决权或已发行股本;或(ii)可确保该实体的活动和业务按照其意愿进行的任何实体。

保证报价:指通过Airwallex API生成的报价,该报价为选定的货币对指定了可用于在指定有效期内预订外汇兑换的外汇汇率。

香港:指中华人民共和国香港特别行政区。

指示性汇率:指通过Airwallex API请求选定货币对的指示性外汇汇率。

间接或后果性损失:指非直接损失的损失。

无偿事件指:(i)启动旨在清算或重组该方的任何程序;(ii)采取任何步骤或启动任何程序以委任该方或其全部或绝大部分资产的管理人、接管人、管理性接管人或破产管理人;(iii)持有该方全部或绝大部分资产抵押权的任何人采取任何步骤执行该抵押权;(iv)该方的全部或绝大部分资产被扣押、查封、执行或受到任何类似程序的约束;(v)该方无法在到期时支付其债务;(vi)该方进入或采取任何步骤(无论是由该方董事会还是其他方)进入与其债权人或任何类别债权人的和解或安排,包括公司自愿安排或契约安排;或(vii)该方进入或采取任何步骤(无论是由该方董事会还是其他方)进入与(i)至(vi)项所述程序类似的任何司法管辖区的任何类似程序,在各种情况下,均不得出于该其他方进行无偿合并或重组的唯一目的。

知识产权指:(i)与专利、注册设计、设计权、商标、贸易和业务名称(包括与任何商标或贸易和业务名称相关的商誉)、版权和相关权利、精神权利、数据库、域名、半导体和其他拓扑权利以及实用新型相关的权利,包括此类权利的注册和申请以及在全球任何地方的续期或延续;(ii)不正当竞争性权利的性质以及提起侵权和冒充的权利;以及(iii)商业秘密、保密性和其他专有权利,包括专有技术和其他技术信息的权利。

关联账户:指可接受的第三方金融机构的账户,您可以将其链接到您的Airwallex个人资料,以连接我们提供给您的服务。

市场中断:指Airwallex全权自行决定:(i)直接或间接妨碍、限制或限制Airwallex或其集团公司获得报价报价、兑换任何货币或向任何其他国家或同一国家内转账的能力;(ii)导致任何购买货币无法按照正常商业惯例在银行同业外汇市场获得;或(iii)构成外汇市场价格异常波动的任何行为、事件或情况。

多币种全球账户:具有第5.2条中赋予的含义;

网络规则:指Airwallex不时支持的支付网络的金融服务提供商施加的指导方针、章程、规则、协议和法规(包括Visa、萨满或美国快递的支付卡计划操作规则)。

支付数据:指支付账户详细信息、与金融服务提供商通信的信息、受适用法律和网络规则特别监管的财务信息以及使用我们服务产生的任何其他交易信息。

支付条款:指与 Airwallex 可能向您提供的支付处理服务、欺诈控制服务、货币兑换和/或其他相关附加服务有关的、在我们的网站 www.airwallex.com 上公布的、名为 ”支付条款 (Payment Terms)"的条款和条件。

支付:指Airwallex根据您通过Airwallex平台提供的指示,向第三方收款人进行的每一笔付款。

支付日:指您通过Airwallex平台提供的指示,Airwallex将支付从Airwallex转到收款人的日期。

支付服务:指,就根据您的支付指示要在支持的货币中向收款人进行的任何付款,Airwallex根据本条款向您提供的支付代理服务。

个人数据:指通过服务收集、传输或可访问的标识特定自然人(而非公司、法律实体或机器)的信息,并按数据保护法定义的其他内容。

产品文档:指公布于我们的网站 www.airwallex.com上适用于Airwallex产品和服务的任何文档、工具、教程和/或指南。

监管机构:指与适用法律的制定、执行或监督或合规有关的任何个人或监管机构,包括香港海关及任何替代机构。

受限人员:指(i)列入任何制裁名单或由其拥有或控制的人;(ii)位于或根据法律设立于、由遭受国家级制裁的国家或地区拥有或控制的人员,或代表其行事的人员;或(iii)其他制裁对象。

逆向兑换:指为执行客户的取消请求而需要的抵消交易,该交易以当时的外汇汇率执行,以逆转Airwallex最初执行的外汇兑换的固定部分;

制裁:指由以下机构实施、颁布或执行的任何经济制裁法律、法规、禁运或限制措施:(i)香港;(ii)美国;(iii)联合国;(iv)欧盟;(v)英国;(vi)Airwallex运营的任何其他司法管辖区;或(vii)上述任何一方的相关政府机构和机构,包括但不限于美国财政部海外资产控制办公室(OFAC)、美国国务院和英国财政部(统称"制裁机构")。

制裁清单:指由OFAC发布的特殊指定国民和被阻塞人员名单,英国财政部发布的金融制裁目标合并名单,或者由任何制裁当局发布或维护或公开的任何类似名单。

服务:指Airwallex根据这些条款向客户提供的服务,包括收款服务、外汇兑换服务和通过Airwallex平台提供的支付服务。

服务费用:指使用各项服务的所有适用费用。

结算:在外汇兑换(FX Conversion)的背景下:是指您的全球账户(支付和外汇)被记入买入金额的时间;在支付(Payout)的背景下,是指从您的全球账户(支付和外汇)扣除支付金额的时间。

结算截止日:指根据这些条款支付任何已清算资金的到期日。通常情况下,这是相关支付日期前一个工作日。

结算日期:在延期结算交易(Extended Settlement Transactions)的背景下,指我们根据本条款交付买入货币的日期,该日期在确认书中指定。

支持货币:就某项服务的每个功能而言,指Airwallex不时批准的,可通过Airwallex平台进行收款、兑换和/或支付的每种货币。

用户档案:指与每个授权用户相关的电子信息档案,该档案记录授权用户的详细信息,并由他们用于登录和代表您使用Airwallex平台。

有效期:指现货外汇兑换(Spot FX Conversion)或延期结算交易(Extended Settlement Transaction)可以使用Airwallex API进行预约的期间。可用的有效期为1分钟、15分钟、30分钟、1小时、4小时、8小时和24小时,所选的有效期将在可执行报价(Executable Quote)中指定。

网页应用程序(Webapp):指客户及其授权用户可用于访问Airwallex平台和服务的用户界面。

23.2. 除非上下文另有要求:

(a) 使用单数包括复数,反之亦然;

(b) 对于法令或法定条款的引用,是指不时修订、扩展或重新制定的版本;

(c) 以"包括"、"含"、"尤其是"、"例如"或任何类似表达引入的任何短语应被解释为说明性的,不会限制其前述词语的含义。

23.3. 对于"双方"的引用将包括任何继承人、经许可的受让人或转让人。"人"一词应被视为包括法人团体、合伙企业或非法人团体。对任何一方赔偿任何人的任何费用、索赔或债务的引用,应包括赔偿任何和所有责任、损失和费用,以及(在最大范围内,但仅在适用法律允许的情况下)任何相关监管机构施加的任何民事或刑事罚款,以及任何合理发生的法律费用、成本和费用。
