These terms and conditions (‘Terms’) set out the terms and conditions of your participation in the Airwallex Hong Kong Shopify Partnership Campaign Promotion operated by Airwallex (Hong Kong) Limited (‘Airwallex’, ‘us’, ‘our’ or ‘we’). These Terms shall form part of any applicable agreements (‘Customer Agreements’) governing the use of card products issued by Airwallex to you (‘Airwallex Card’) and shall be construed accordingly. Capitalised terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms.

By participating in the Airwallex Hong Kong Shopify Partnership Campaign Promotion (‘Promotion') and/or receiving the Shopify Fee Reimbursements (as defined below), you agree to these Terms.

Who is eligible to participate in the Promotion?

You are eligible to participate in the Promotion and become an ‘Eligible Customer’ if all of the following two requirements are satisfied:

  • You are an existing customer of Shopify;
  • You are a company incorporated in Hong Kong with a valid business registration certificate;

you have signed up as a new customer of Airwallex through the Campaign page during the Promotion Period;

  • you have been onboarded by Airwallex following satisfaction of all requirements from Airwallex (including the onboarding Know Your Customer (KYC) requests) thereafter (“Successful Onboarding”); and
  • you have received an email confirmation confirming that you have successfully enrolled in the Promotion. Please note, to receive this confirmation email, please make sure that you are subscribed to our marketing newsletters and communications during sign-up

Airwallex reserves the right to determine who it selects or invites to participate in the Promotion.

What is the Promotion?

Eligible Customers are entitled to receive Shopify Fee Reimbursements on Eligible Transactions offered by Airwallex during the Reimbursement Period.

All capitalised terms used in this paragraph (except Eligible Customers) are defined below.

What is Shopify Fee Reimbursements?

Each Eligible Customer is entitled to reimbursements against its Shopify subscription fees (“Shopify Fee Reimbursements”), to be paid by Airwallex, up to the maximum of USD100, provided that:

(i) The minimum amount for each Shopify subscription fees transaction paid is USD25 (or its equivalent in Hong Kong Dollars (“HKD”);

(ii) The Shopify subscription fees were paid using Airwallex Card;

(iii) The Shopify subscription fees were paid during the Reimbursement Period.
(a transaction that fulfilled all criteria from (i) to (iii) is known as an “Eligible Transaction”)

The reimbursement may be issued by Airwallex to an Eligible Customer in multiple tranches of varying amounts, as long as the total reimbursements does not exceed USD100 during the Reimbursement Period.

The Shopify Fee Reimbursements will be calculated based on the subscription fees incurred and will be credited back to the Eligible Customer in USD. Please note that the reimbursements may be subject to exchange rate fluctuations and the currency of the original transaction. The reimbursement period for each Eligible Customer begins from the date of the Successful Onboarding of the Eligible Customer, and lasts for 90 days thereafter (“Reimbursement Period”).

When will you receive the Shopify Fee Reimbursements?

For an Eligible Customer who has made any Eligible Transaction in a calendar month, the relevant portion of the Shopify Fee Reimbursements will be credited to the Eligible Customer’s Airwallex account on or before the end of the next calendar month after the relevant subscription fees have been paid to Shopify. Any decimal place for the Shopify Fee Reimbursements will be rounded down to the nearest integer.

You will not be entitled to the Shopify Fee Reimbursements if:

  • You close your Airwallex account before the Shopify Fee Reimbursements have been credited; or
  • Your Airwallex account is not in good standing.

When is the Promotion Period?

'Promotion Period' means the period that commences on 17 December 2024, 00:00 Hong Kong time and ends on 31 December 2025, 23:59 Hong Kong time (both dates inclusive), unless otherwise notified by Airwallex.

Is there any cost to participate in the Promotion? Airwallex does not charge you any cost, fee or expense to participate in the Promotion.

What are some other restrictions you should know?

The Promotion is not available in conjunction with other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex.

Airwallex accepts no liability in respect of any rewards, products, services, offers or discounts provided to you by our Partners. Our Partners are solely responsible for all related obligations and liabilities. Airwallex is not the supplier of any rewards, products, services, offers or discounts or the description, photos or reference prices in relation to the rewards, products, services, offers or discounts offered to you in connection with the Promotion. Any enquiry, claim or complaint in relation to the quality or availability of any rewards, products, services, offers or discounts or the accuracy of any of the aforementioned information provided by our Partners shall be directed to the relevant party, not Airwallex. Airwallex shall assume no liability in respect thereof.

Eligible Transactions exclude transactions including but not limited to those expressly prohibited under and not supported by our Services pursuant to the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature. Eligible Transactions also exclude unposted, cancelled, suspended, refunded, unauthorized, charge back transactions and any other transaction as designated by Airwallex from time to time.

The eligibility of transactions for the purpose of the Promotion is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable to determine the eligibility of any transactions for the Promotion before they are made by the Eligible Customer.

The Promotion is available on a first-come-first-serve basis.

The Shopify Fee Reimbursements may be reversed if any Eligible Transactions (in full or in part) are subsequently, cancelled, suspended, frozen, reversed or refunded. The Shopify Fee Reimbursements cannot be transferred to third parties or other accounts, or exchanged for cash or exchanged for any other gifts, returned or exchanged for other products or services.

Airwallex will not accept any liability if any information submitted by any third party partners, service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. No person other than the Eligible Customer and Airwallex (includes its successors and assigns) will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623) to enforce or enjoy the benefit of any of the provision of these Terms.

Indemnification

The Eligible Customer shall indemnify, defend and hold harmless the Airwallex Group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex Group by a third party or suffered by the Airwallex Group in connection with or as a result of the Eligible Customer’s breach of this Agreement, failure to comply with applicable law or the Eligible Customer’s use or misuse of the Promotion.

Termination and changes

The Promotion expires on 31 December 2025, 23:59 Hong Kong time, unless otherwise extended or shortened by Airwallex. Your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole and absolute discretion. Airwallex reserves the right to amend these Terms or cancel, suspend or amend the Promotion (or any part of it) at any time without prior notice. Should any disputes arise, the decision of Airwallex shall be final and conclusive.

For the avoidance of doubt, Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel offering the Promotion to you if we suspect that you are abusing or using the Promotion in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex. In case of any fraud, abuse, reversal, cancellation or charge back of transactions in respect of which the relevant Shopify Fee Reimbursements is awarded, Airwallex reserves the right to debit the equivalent amount of the relevant Shopify Fee Reimbursements from the Eligible Customer's Airwallex account without prior notice.

Eligible Customer is advised to keep records of the relevant Eligible Transactions. In case of any disputes, Airwallex reserves the right to require the Eligible Customer to provide such records or submit relevant documents or proofs for verification purpose. Submitted documents or proofs will not be returned. The decision of Airwallex regarding the eligibility of relevant transactions shall be final and conclusive.

In case of any conflict between these Terms and Customer Agreements, these Terms shall prevail. Privacy & security Any personal information that you provide to us will be used in accordance with our Privacy Policy.

Governing law

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
