Airwallex eCommerce Step Changer (Hong Kong) Campaign Terms

These terms and conditions (‘Terms’) set out the terms and conditions of your participation in the Airwallex eCommerce Step Changer Campaign (‘Promotion'), which is operated by Airwallex (Hong Kong) Limited (‘Airwallex’, ‘us’, ‘our’ or ‘we’) and subject to Airwallex’s sole and absolute discretion. These Terms shall form part of any applicable agreements (‘Customer Agreements’) governing the use of relevant products and services provided by Airwallex to you (‘Services’) and shall be construed accordingly. Capitalised terms used below shall have the same meaning given to them in the Customer Agreements unless otherwise defined in the Terms.

By enrolling in, signing up for or participating in the Promotion (whichever occurs first), you agree to these Terms.

Who is eligible to participate in the Promotion?

You are eligible to participate in the Promotion and become an ‘Eligible Customer’ if Airwallex determines or confirms that all of the following requirements are met and maintained during the Promotion Period and the Rebate Period:

  1. you are an entity incorporated in Hong Kong, is a new customer of Airwallex onboarded in Hong Kong and have not used any Airwallex’s services prior to the Promotion;
  2. you are selected by Airwallex and have received an invitation email from Airwallex (‘Invitation Email’) to participate in the Promotion;
  3. you have signed up as a new customer of Airwallex through the Invitation Email and you have been onboarded by Airwallex following satisfaction of all requirements set by Airwallex within Airwallex’s specified deadline (including but not limited to the satisfaction of the following requirements within 60 days of signing up: (i) onboarding Know Your Customer (KYC) requests, and (ii) Know Your Business (KYB) requests for customers using Online Payments Services) thereafter (‘Onboarding’);
  4. you have received an email confirmation from Airwallex that you have successfully enrolled in the Promotion; and
  5. any other requirement that may be imposed by Airwallex at its sole and absolute discretion, including but not limited to those based on its risk control, commercial, legal, financial, cost, transactional or operational assessments or considerations.

Airwallex reserves the right (at its sole and absolute discretion) to determine who it invites to participate in the Promotion or who can enjoy the Rebate.

What is the Promotion? Eligible Customers are entitled to the following Rebate from Airwallex for the corresponding Rebate Period:

Online Payments ServicesA rebate (’Rebate’) on the Promotion Service Fees (as defined below) for Eligible Transactions with the transaction volume of up to the first HK$100,000 or equivalent accepted and completed in each calendar month (which amounts to a total transaction volume of up to HK$300,000 or equivalent for the Rebate Period).90 calendar days from and including the date on which Airwallex confirms in writing that you have passed KYB for Onboarding during the Promotion Period, and in any event shall not exceed the Rebate Long Stop Date (such period, ’Rebate Period’).

As used herein,

Promotion Service Fees’ means the fees set out in Section 1.4 “Payment Method Fees (Blended)” and 1.5 “Local Payment Methods (Blended)” under our fee schedule here; and

Rebate Long Stop Date’ means 30 April 2025.

What are Eligible Transactions?

'Eligible Transactions’ means payment transactions acknowledged by Airwallex in writing that meet the requirements under these Terms, are made by customers of an Eligible Customer and are accepted by such Eligible Customer via Airwallex’s Online Payments Services.

When will an Eligible Customer receive the Rebate?

For each Eligible Customer acknowledged by Airwallex in writing who has used our Online Payments Services and continues to meet the requirements under these Terms during the Promotion Period and the Rebate Period, the relevant Rebate applicable to such Eligible Customer will be credited to the Eligible Customer’s Airwallex account on or before the end of the calendar month following the expiration of such Eligible Customer’s applicable Rebate Period.

When is the Promotion Period?

'Promotion Period' means the period that commences on 11 September 2024, 00:00 Hong Kong time and ends on 31 December 2024, 23:59 Hong Kong time (both dates inclusive), unless otherwise notified by Airwallex.

Is there any cost to participate in the Promotion?

Airwallex does not charge you any cost, fee or expense to participate in the Promotion.

Can an Eligible Customer enjoy the Rebate for more than one Airwallex account?

No, each Eligible Customer can only apply for the Rebate with one Airwallex account. This requirement must not be circumvented in any way, such as by a controlling person establishing multiple entities with different accounts. Airwallex reserves the right to verify eligibility and disqualify any Eligible Customer from the Promotion.

What are some other restrictions you should know?

The Promotion is not available in conjunction with other offers, discounts, packages or promotions (as may be launched by Airwallex from time to time), unless specified by Airwallex.

All applicable products, services and offers from our partners ('Partner Offer') are directly provided to you by our partners. Our partners are solely responsible for all related obligations and liabilities. Airwallex is not the supplier of such products, services or Partner Offers or the description, photos or reference prices in relation to such products, services or Partner Offers offered to you, whether or not in connection with the Promotion. Any enquiry, claim or complaint in relation to the quality or availability of the products, services or Partner Offers offered by our partners or the accuracy of any of the aforementioned information provided by our partners shall be directed to the relevant party, not Airwallex. Airwallex shall assume no liability in respect thereof.

Eligible Transactions exclude transactions including but not limited to those expressly prohibited under and not supported by our Services pursuant to the Customer Agreements and/or the Acceptable Use Policy and transactions of similar nature. Eligible Transactions also exclude unposted, cancelled, suspended, refunded, unauthorized, charge back transactions and any other transaction as designated by Airwallex from time to time.

The eligibility of transactions for the purpose of the Promotion, the Eligible Customer or the Eligible Transaction is determined by Airwallex in its sole and absolute discretion from time to time. Airwallex shall not be liable for determining or for any determination of the eligibility or non-eligibility of any transactions for the Promotion, the Eligible Customer or the Eligible Transaction.

Airwallex has the right to cancel, suspend, freeze, reverse or request a refund of the Rebate if any Eligible Transaction (or any part thereof) is subsequently cancelled, suspended, frozen, reversed or refunded.

You must not transfer the Rebate (or any part thereof) to any third parties or other accounts, or exchanged for cash or exchanged for any other gifts, returned or exchanged for other products or services.

Airwallex will not accept any liability if any information submitted by any third party partners, service providers, network providers, software and applications (including but not limited to Visa) to Airwallex has been delayed, lost, invalid or unidentifiable due to any technical problems of the computers or networks. No person other than the Eligible Customer and Airwallex (includes its successors and assigns) will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623) to enforce or enjoy the benefit of any of the provision of these Terms.

Indemnification

Each Eligible Customer shall indemnify, defend and hold harmless the Airwallex Group and its officers, directors, employees, advisors, agents, and subcontractors from and against any loss, damage or expense (including reasonable attorneys’ fees) incurred in connection with any claims, actions, demands, suits or proceedings made against the Airwallex Group by a third party or suffered by the Airwallex Group in connection with or as a result of the Eligible Customer’s breach of these Terms or the Customer Agreements, failure to comply with applicable law or the Eligible Customer’s use or misuse of the Promotion or the Rebate.

Termination and changes

The Promotion expires on 31 December 2024, 23:59 Hong Kong time, unless otherwise extended or shortened by Airwallex. Your participation in the Promotion is not guaranteed and may be revoked at any time in Airwallex’s sole and absolute discretion. Airwallex reserves the right to amend these Terms (or any part of it) or cancel, suspend or amend the Promotion or the Rebate (or any part of it) at any time without prior notice. Should any disputes arise, the decision of Airwallex shall be final and conclusive.

For the avoidance of doubt, Airwallex reserves the right, at our sole and absolute discretion, to suspend or cancel the Promotion or the Rebate to you if we suspect that you are abusing or using the Promotion or the Rebate in a fraudulent or unlawful manner or for a fraudulent or unlawful purpose or if you are in breach of any of these Terms or the Customer Agreements or any of our terms and conditions you have agreed to with Airwallex. In case of any fraud, abuse, reversal, cancellation or charge back of Eligible Transactions in respect of which the relevant Rebate is awarded, Airwallex reserves the right to debit the equivalent amount of the relevant Rebate from the Eligible Customer's Airwallex account without prior notice.

Each Eligible Customer shall keep comprehensive, complete, accurate and verifiable records of all Eligible Transactions (including but not limited to data, proof and receipts). In case of any disputes, Airwallex reserves the right to require the Eligible Customer to provide such records or submit relevant documents or proofs for verification purpose. Submitted documents or proofs will not be returned. The decision of Airwallex regarding the eligibility of relevant transactions shall be final and conclusive.

In case of any conflict between these Terms and Customer Agreements, these Terms shall prevail.

Privacy & security Any personal information that you provide to us will be used in accordance with our Privacy Policy.

Governing law These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
