Promotion terms and conditions:

1. What do these terms cover? These are the terms and conditions (Agreement) which apply to your participation in our Promotion which is further described below.

2. Who are we? We are Airwallex Limited, a company registered in Hong Kong. Our registered office is at Suites 08-10, 63rd floor, One Island East, 18 Westlands Road, Quarry Bay, Hong Kong. In this Agreement, Airwallex Limited is referred to as “we/our/us/Airwallex”.

3. Eligibility criteria. You are eligible to participate in the Promotion (Participant) and referred to as an “Eligible Customer” if the following conditions are satisfied:

a) You have agreed to and signed up as a new customer of Airwallex’s online payment services (Online Payment Service) pursuant to Online Payment Terms (https://www.airwallex.com/hk/terms/online-payment-terms) and you have been onboarded by Airwallex following satisfaction of all requirements from Airwallex (including but not limited to passing the Know Your Customers (KYC), Know Your Business (KYB) and other onboarding processes and procedures) between Jan. 15, 2022 and April 30, 2022 (the Promotion Period);

b) You are not an existing customer of the Online Payment Service of Airwallex or its affiliates. If your subsidiaries, affiliates, or other related parties apply for this Promotion, Airwallex reserves the right to offer the Promotion to only one of your related entities at Airwallex’s sole discretion.

c) You are a company incorporated in Hong Kong with a valid business registration certificate

d) Your transactions processed by Airwallex pursuant to the Online Payment Terms exceed HKD$100,000 during the Promotion Period.

4. What is the Promotion? If you are an Eligible Customer, the Payment Method Fee, Gateway Fee, Foreign Currency Settlement Fee and FX Conversion Fee (Waived Fees) listed in the fee schedule for Online Payment Services (https://www.airwallex.com/hk/terms/fee-schedule) will be waived when Airwallex processes the first HKD$100,000 (Promotional Limit) of online transactions of cards and local payment methods for you pursuant to the Online Payment Terms. This waiver does not extend to Refund Fees or Chargeback Fees.

5. How will Airwallex calculate the Promotional Limit? Airwallex will calculate the Promotional Limit by reference to Aggregate Payment Amount(as defined in the Online Payment Terms) of transactions processed by Airwallex during the Promotion Period. Airwallex will not include transactions subject to refunds, chargebacks, reversals, cancellations and other similar transactions in the calculation of the limit.

6. When and how will the Waived Fees be paid to you? Airwallex will calculate the Waived Fees within one month after the end of the Promotion Period and credit such Waived Fees to your Airwallex account in USD based on the standard exchange rate used by Airwallex at the time of calculation.

7. Expiry of Promotion. Once the Promotion Period ends or you reach the Promotion Limit (whatever comes first), you will be charged standards rates.

8. Your acceptance and agreement. You are deemed to have accepted and agreed to be bound by this Agreement from the date you accepted the Online Payment Terms.

9. Not available with other offers. You may not use any other promotions, discounts or offers from us in conjunction with the Promotion, unless specified by Airwallex.

10. There is no promotion code required to enjoy the Promotion.

11. We reserve the right to hold void, cancel, suspend, or amend the Promotion and this Agreement from time to time at our absolute discretion (including without limitation the terms relating to the eligibility criteria and the Promotion Period).

12. Our decision on all matters relating to this Promotion will be final, conclusive and binding on all Participants, and no correspondence shall be entertained. In the event of any inconsistency between this Agreement and any brochure, marketing or promotional material relating to the Promotion, this Agreement will prevail.

13. We, our employees and representatives shall not be liable for any loss, damage, or any injury that may be sustained by the Participant or by any person in connection with the Promotion.

14. This Agreement will automatically terminate upon the expiration of the Promotion Period or if your Customer Agreement is terminated for any reason.

15. How we may use your personal information. Any personal information you provide to us will only be used in accordance with our Privacy Policy.

16. We may assign or transfer our rights and obligations under this Agreement to another entity by posting on this webpage if this happens.

17. You may not assign or transfer your rights or obligations under this Agreement to another entity unless we agree in writing.

18. Nobody else has any rights under this Agreement. This Agreement is between you and us. No other person has any rights to enforce any of its terms.

19. Which laws apply to this Agreement and where you may bring legal proceedings. This Agreement is governed by the laws of Hong Kong, China and you agree to submit to the exclusive jurisdiction of the courts in Hong Kong, China.
